What the company does
Aimtron is a Vadodara-based contract electronics manufacturer. It assembles printed circuit boards (PCBA), builds complete electromechanical products ("box build"), and increasingly designs products for customers (ODM). Customers are mainly industrial, telecom/network-security, power (data-centre UPS), IoT/AI-surveillance, medical, EV/BMS and gaming OEMs in India and the USA, including named relationships with Danaher, ABB, Schneider Electric and Caterpillar, plus John Deere, CNH and AGCO via the Illinois plant bought in early 2026. Before its 2024 IPO, more than half of its revenue came from the promoter's own US company, Aimtron Corporation. That share has since fallen to 4.3% of standalone sales [Fact], but promoter-entity balances on the balance sheet have grown. FY26 consolidated revenue was ₹301.2 cr (+89%) and PAT ₹46.0 cr (+79%). Operating cash flow was negative ₹40 cr.

Analyst Notes
What just happened. Revenue went from ₹93 cr (FY24) to ₹159 cr (FY25) to ₹301 cr (FY26), +71% and then +89% [Fact]. Q1 FY27 revenue was ₹84.0 cr, +94%. The consolidated order book reached ₹604 cr at 30-Jun-2026, 2.0x FY26 revenue. The customer list is genuine and increasingly blue-chip: Danaher, ABB, Schneider and Caterpillar as "settled" blanket-order customers; John Deere, CNH and AGCO via AIC; a pilot from Curtiss-Wright; and a ₹97.55 cr UPS ODM programme for an Ohio-based ~$8 bn data-centre OEM whose profile matches Vertiv [Inferred]. Management has beaten its own revenue guidance two years running: FY25 guided 30–50% and delivered +71%; FY26 guided ₹270–280 cr and delivered ₹301 cr. The stock is up ~11.9x from the ₹161 IPO price and ~105% in six months. Nuvama initiated with a BUY in August, and Alchemy, 360 ONE and Clarus are writing cheques.
The problem is cash. Over FY22–FY26 cumulative PAT was about +₹95 cr, while cumulative operating cash flow was about −₹48 cr and free cash flow about −₹136 cr. The two most recent years are the worst: OCF −₹18.7 cr against PAT ₹25.6 cr in FY25, and −₹40.0 cr against ₹46.0 cr in FY26 [Fact]. The cash conversion cycle is ~241 days standalone and ~254 consolidated, against roughly 60–120 days for listed Indian EMS peers. Consolidated WIP rose 6.8x to ₹79.3 cr. Receivables are ₹135.5 cr, about 164 days, of which ₹17.5 cr is 6–12 months overdue. ₹25.2 cr of receivables is owed by the promoter's Aimtron Corporation. All of this growth has been paid for with outside money: the IPO (₹87.02 cr), warrants (₹94.57 cr committed, about ₹76.7 cr received to date [Est.]), ₹55.3 cr of new subsidiary debt, and now a proposed ₹205 cr preferential issue. That is roughly ₹440 cr of capital in about 28 months for a business with ₹301 cr of revenue. Management's own answer on when operating cash flow turns positive was "stabilisation at ₹1,000 crore".
The accounting and audit picture is the part the market is not pricing. These items come from the FY26 Annual Report itself:
- The consolidation looks un-eliminated. Consolidated revenue of ₹301.16 cr is exactly standalone ₹257.13 cr + LLC ₹43.50 cr + Mechatronics ₹0.52 cr. Total assets also sum exactly. Yet there are intra-group sales and ₹24.64 cr of parent-to-subsidiary loans, and a ₹16.80 cr "loans to related parties" line, exactly equal to the parent's loan to its own US subsidiary, still shows as a consolidated asset [Fact]. The inference that eliminations were not made is ours and needs confirmation from the company or auditor [Analyst View].
- Two lenders are not named. One is a ₹21.53 cr "unsecured loan from related parties"; the other is a ₹33.28 cr secured term loan, whose lender, rate, tenor and security are all undisclosed.
- CARO contradicts the notes. CARO iii(a) and the Board's Report say no loans were granted, while the notes show ₹24.64 cr lent to subsidiaries, including an interest-free ₹7.84 cr to Mechatronics.
- The audit opinion cites the wrong framework. It cites Ind AS, but the accounts are prepared under Indian GAAP.
- Bank overdrafts sit outside borrowings. ₹22.39 cr of cash-credit balances are booked in "other current liabilities". Including them, D/E is 0.10 standalone (reported 0.002) and 0.33 consolidated (reported 0.24).
- A ₹13 cr GST contingent liability vanished between FY25 and FY26 without explanation.
- The EPCG export obligation looks implausible. The AR states "₹187.32 crore", about 10x the prospectus figure of ₹18.31 cr (Dec-23) and ~6x FY26 exports of ₹32.4 cr. It may be a unit error (₹187.32 lakh would be ₹1.87 cr) or reflect new licences; verify [Est.].
- ₹3.10 cr of IPO money was reported as "debt repayment" in FY26, although no bank term debt was outstanding after 31-Mar-2025. This is a potential undisclosed deviation to verify, not a confirmed one: the object also covered the ICICI working-capital loan, and the ICICI CC moved from a debit balance to a ₹20.42 cr liability during FY26 [Est.].
- Profit includes items that may not recur. A ₹5.43 cr FX gain (8.9% of PBT) is netted inside other expenses. Excluding it, the EBITDA margin is ~20.0% [Est.], which is roughly why Screener shows ~20%.
- Historical numbers were restated. FY23 PAT was restated down to ₹8.63 cr at the IPO, from ₹12.0 cr audited.
The auditor and governance carry their own flags.
- SPVP & Co signs under a different registration number and peer-review number than the year before. This may be a benign LLP conversion or merger, but it has not been explained.
- Its predecessor resigned 2.5 months into a 5-year term in 2021.
- A pre-IPO allottee, Nehal Vishal Dattani, shares the audit partner's surname. Any relationship is unverified; even if related, the 2,000-share holding (₹20,000 face value) is within the s.141 limit for relatives, so this is an optics point, not an independence breach.
- The promoter's Aimtron Technologies Pvt Ltd receives about ₹4 cr a year for services whose nature is not stated.
- All CSR goes to the promoter-controlled Aimtron Foundation.
- The new MD is a US resident, which raises an open Schedule V residency question.
- FEMA FC-GPR filings were missed on 84.7% of pre-IPO capital.
Related parties: smaller in sales, larger on the balance sheet. At the IPO, Aimtron Corp USA was ~52–56% of revenue and the top 10 customers were 88.8–98.6%. Sales to the US group fell to 27.7% of standalone revenue in FY25 and 4.3% in FY26 [Fact], which is a genuine improvement. In FY26, however, the company also:
- prepaid ₹22.5 cr of "advances against purchase" to promoter US entities;
- bought ₹12.6 cr from Aimtron Corp;
- was still owed ₹25.2 cr by Aimtron Corp.
Total exposure to the promoter group is about ₹47 cr, roughly 20% of net worth. The promoter's stated plan is to fold Aimtron Corp (~₹900 cr revenue across 6–7 US entities) into the listed company "before I retire". That transaction will be the defining governance test.
Capital-allocation credibility is low.
- In Apr-2025 management said there would be "no near-term equity raise" until revenue of ₹300 cr was proven. Warrants were approved 11 weeks later, when revenue was ₹159 cr.
- In Apr-2026 it said "we don't need any other CapEx". The ₹205 cr raise followed five months later.
- AS9100 arrived about a year late, and the US$10M defence opportunity and the three China+1 contracts were never followed up.
- Management told the Apr-2026 call that customers own the IP, which contradicts the Jun-2025 ODM release.
- Public non-institutional holders who voted rejected the warrants by 79.45% (34,800 of 43,800 shares voted; turnout 2.16%). The resolution still passed with 92.12% because institutions voted for it and promoters abstained.
- The promoter sold 2.1 lakh shares at ₹1,480 (~₹31 cr) on 4–5 Aug-2026. The same bulk-deal data show Alchemy buying 2.06 lakh shares at ₹1,480, and seven weeks later Alchemy is a named allottee in the preferential issue at ₹1,674.47.
What the market is pricing [Analyst View]. At a fully diluted market cap of ₹4,432 cr, and assuming a mature multiple of 30x, the market needs about ₹148 cr of PAT. At a 15% PAT margin that is about ₹985 cr of revenue. In other words, the market already prices full delivery of management's ₹1,000 cr target. That target is 3.3x FY26 revenue, needs at least the greenfield plant plus AIC, and depends on margins not diluting further. Q1 FY27 order inflow was only about ₹88 cr, a book-to-bill of about 1.0x against about 2.1x in FY26 [Est.]. That estimate depends on management's loose "~₹600 cr" opening book (India + AIC); if the ₹521.2 cr Mar-26 figure were already consolidated, inflow would be ~₹167 cr (~2.0x). Ex-AIC organic India growth in Q1 may have been as low as ~+2–11% [Est.]. Very little is left for disappointment, and SME liquidity means drawdowns will be sharp: FII 0.21%, no mutual fund has ever held the stock, and 20% of the shares are held by 5,275 small holders.
| Test for H1 FY27 (due ~Nov-2026) | Pass | Fail |
|---|---|---|
| Consolidated OCF H1 FY27 | Positive, receivables + inventory flat vs Mar-26 | Another negative half; WIP up again |
| Organic (ex-AIC) revenue growth | >40% YoY | <20% YoY (Q1 hint was ~2–11% [Est.]) |
| EBITDA margin (state basis) | ≥20% with AIC consolidated | <18% |
| Order inflow / book-to-bill | >1.5x | ~1.0x again |

Note that AOC-1 shows the Texas LLC on a Jan–Dec 2025 reporting period, so whether its ₹43.50 cr includes AIC's Feb–Mar 2026 revenue is itself unclear; this is a further disclosure inconsistency. The other ~₹30 cr of LLC revenue implies the Texas LLC acts as a US billing and trading entity [Inferred]. Consolidated H1 FY26 PAT was ₹5.22 cr above standalone before AIC was acquired; this is unexplained.

ICS deal. Announced 23-Jan-2026. Price undisclosed ("confidentiality"). Outlook Business: under ₹75 cr (~US$8M). The "US$17M" figure is ICS revenue, not price (Venture Intelligence conflated the two). Management cited 5–6x and 6–7x EBITDA, implying an EV of ~US$10–13M [Est.]. Funding: US$4.3M of Texas bank debt plus warrant money (₹7.06 cr used). The earn-out is undisclosed. ICS is in Illinois near the promoter's private Aimtron Corp and is run by Mukesh and Nirmal, so inter-company flows need monitoring. The cash-flow treatment is unreconciled: only ~₹21 cr of non-capex investing outflow is visible.

Named customers: Danaher (75-day terms), ABB, Schneider Electric, Caterpillar (blanket orders); John Deere, CNH, AGCO (AIC); Vanix Technologies; Curtiss-Wright (pilot); GSRTC (end-user); Aurassure. A fourth "settled" name in one transcript ("Pomerantz") is likely a transcription error. Unnamed: the US ~$8 bn data-centre OEM (Vertiv [Inferred]), a Navratna PSU, Indian and Texas drone makers, a semiconductor-test company, a Spanish OEM, the global IoT client, an Indian power major (₹50–100 cr opportunity), European climate-systems clients. The US group (~₹900 cr across 6–7 companies) sends ~10% of its orders to India. FY26 proxy: two programmes (UPS ODM and network security) may be about 40% of revenue [Inferred, upper bound]. AIC's top 5 are ~40%.
End products: data-centre UPS; network-security appliances, switches, Wi-Fi 6/7, SFP modules, fibre test gear; smart meters, GPS trackers, telematics, AI cameras and dashcams, weather stations; pump/HVAC controllers and drives; BMS and on-board chargers; medical devices; military comms/EW, drones, rail signalling; pinball; ruggedised controls for tractors, mining and oil & gas.
Stickiness: ODM qualification takes 12–15 months, defence 12+ months, rail needs RDSO, medical needs ISO 13485/CDSCO. "~80% of first-day clients continue." Product lifecycles run 10–15 years. Orders are annual POs with call-offs; blankets up to 16 months; design contracts carry 5–7 yr tails; three China+1 design contracts of ~$10M each over 3 yrs were signed in FY25. DSO for large customers is 60–75 days, with payment after the customer's incoming QC.

Competitive Position
Aimtron's ₹301 cr is ~0.08% of India's ~US$40–45 bn (~₹3.8 lakh cr) EMS market: about 1/12 of Kaynes, 1/16 of Syrma and 1/160 of Dixon. It is the second-smallest listed EMS name and the largest NSE SME EMS name. Its growth comes from winning share in high-mix, low-volume niches, not from the market lifting it.

Porter's Five Forces and moat
| Force | Intensity | Rationale |
|---|---|---|
| New entrants | Medium | SMT lines cost ~US$1–1.5M and subsidies help, but qualification (6–18 months) and certifications are barriers; incumbents moving down-market are the bigger threat |
| Supplier power | High | ~70% imported BOM from global oligopolies; 2026 memory shortage |
| Buyer power | High | Top-10 at 89–99% (IPO era); OEM multi-sourcing; annual price-downs |
| Substitutes | Low–Med | In-sourcing; Vietnam, Mexico, Malaysia EMS (Jabil, Flex, Celestica, Kimball, SigmaTron, Benchmark) |
| Rivalry | High, rising | Fragmented bottom, consolidating top; global players in India (Jabil, Flex, Foxconn, Sanmina-Reliance); heavy QIP/IPO capacity additions |
| Moat source | Evidence | Durability |
|---|---|---|
| Qualification / switching costs | 1–2 yr onboarding; 10–20 yr lifecycles; AS9100D | Moderate |
| Design / ODM | ₹97.6 cr ODM; ODM only 2.6% of revenue | Low–Moderate |
| US front-end | Aimtron Corp network; ICS (Caterpillar, Deere) | Moderate but conflicted |
| Cost position | Gujarat, subsidies | Low |
| Backward integration | Mechatronics at an early stage | Low |
Overall moat: narrow, durability Low–Moderate (3–5 years) [Analyst View]. Industry trends: value migrating to design and components; ECMS localisation; the 2026 memory shock; tariffs favouring on-shoring; M&A (Kaynes: Iskraemeco, Sensonic, August; Amber: Unitronics, Power-One, Ascent; Aimtron: ICS); private giants (VVDN, SFO) heading to IPO.

Final Verdict
Bull case
- Genuine hyper-growth: ₹93 → ₹159 → ₹301 cr, Q1 FY27 +94%; guidance beaten twice; ₹604 cr book (2.0x).
- Real customers (Caterpillar, Danaher, ABB, Schneider, Deere, Curtiss-Wright pilot) and a 21.8% EBITDA margin, 1.3–5x peers; AIC gives on-shore US capacity.
- ₹205 cr from quality AIFs (360 ONE, Alchemy, Clarus) funds growth; main-board migration (~mid-2027) could add liquidity and re-rate the stock.
Bear case
- Cash: FY22–26 PAT +₹95 cr vs OCF −₹48 cr and FCF −₹136 cr; CCC ~241–254 days; serial dilution (+13.8% FD).
- Accounting and audit: un-eliminated consolidation, unnamed lenders (₹21.5 cr + ₹33 cr), CARO contradiction, vanished ₹13 cr GST item, implausible EPCG figure, unexplained ₹3.10 cr IPO "debt repayment" booking, FX gain in profit; small auditor with a changed registration (all to be verified with the company).
- Related-party entanglement (₹47 cr ≈ 20% of net worth) plus promoter selling into the raise, at 89x trailing with SME liquidity.
Base case (12–18 months)
FY27 revenue lands at ₹500–550 cr with EBITDA ~19–21% after AIC dilution; OCF stays negative or near zero; the preferential closes, giving net cash of ~₹160 cr. The multiple compresses toward ~40x FY28E as growth normalises. Base value ~₹1,688 (−12%). Probability-weighted ~₹1,594 (−16%) [Analyst View].
5 things to remember
- Revenue growth is real; cash conversion is not: OCF −₹40 cr against PAT ₹46 cr in FY26.
- The FY26 consolidated accounts sum the entities exactly. Treat the consolidated numbers as unverified until the eliminations are explained.
- Related-party sales fell to 4.3%, but promoter-entity balances rose to ~₹47 cr.
- ₹4,093 cr mcap = 89.0x trailing, 96.4x fully diluted, 62.9x EV/EBITDA, with only one broker TP (₹2,036, +6.7%).
- Q1 FY27 inflow slowed to ~1.0x book-to-bill [Est.]; H1 FY27 (~Nov-2026) is the decisive print.
Questions to ask before investing
- Why do consolidated revenue and assets equal the exact sum of the entities? Who lent the ₹21.53 cr related-party loan and the ₹33.28 cr term loan?
- What did ICS cost, what is the earn-out, and why is AIC missing from AOC-1?
- Why does CARO say no loans against ₹24.64 cr lent; why did the auditor's FRN change; is Nehal Vishal Dattani related to the partner?
- What are the ₹4.06 cr ATPL "services" and the ₹22.5 cr advances to US promoter entities; when will the ₹25.2 cr Aimtron Corp receivable be collected?
- Where did the ₹13 cr GST liability go; is EPCG really ₹187.32 cr, or ₹187.32 lakh (₹1.87 cr) as a unit error would imply; what was the ₹3.10 cr "debt repayment" in FY26?
- When did preferential talks with Alchemy start relative to the 4–5 Aug promoter sale, and was PIT disclosure filed?
- What was organic (ex-AIC) Q1/H1 FY27 growth, and when does OCF turn positive?
- Was Central Government approval obtained for the NRI MD under Schedule V, and is FEMA compounding closed?
