Crizac is a Kolkata-based business-to-business outsourcing platform for university student recruitment. Independent education counsellors ("counselling partners", about 17,400 registered, 4,032 active in Q1 FY27) upload student applications to Crizac's portal; Crizac screens documents, routes applications to about 450+ partner universities and tracks them to enrolment. Universities pay Crizac a commission on enrolled students and Crizac pays most of it on to the agent (cost of services was 67.5% of FY26 revenue). It owns no plants and has only about Rs 1.5 cr of borrowings. About 97% of FY26 revenue (98.7% in Q1 FY27) came from the UK. The IPO in July 2025 was a pure Rs 860 cr offer for sale by two promoters; the company received nothing.
Not out; no board-meeting intimation; statutory deadline 14 Nov 2026 [Est.]; trading window closed 25 Sep 2026 [Fact]. Precedent: the Q2 FY26 intimation came on 10 Oct 2025 for a 16 Oct meeting and the Q1 FY27 intimation on 29 Jul 2026 for 3 Aug, so with none filed by 21 Oct the meeting is unlikely before about 24-26 Oct [Est.]. Q2 FY26 is a tough base (39% operating margin, PAT +139%), so Q2 FY27 PAT is likely down year on year [Est.]

Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026
What happened. Crizac is a one-year story that has run from IPO euphoria to a show-me stock. It listed at about Rs 281 on 9 Jul 2025, touched a post-listing peak near Rs 388 in September 2025 (secondary-sourced, outside today's 52-week window) and printed Rs 145.70 intraday today, a new 52-week low of Rs 145.00 and 40.5% below the Rs 245 issue price. Revenue growth went from +28% (Q3 FY26) to +15% (Q4) to -4.0% (Q1 FY27), the first year-on-year decline since listing. Management then withdrew the 15-17% FY27 growth remark it made on 25 May and now says FY27 will be "broadly in line with FY26". Q2 results are not out and no board date exists. The cause of today's 3.8% fall is not known; no filing explains it and I will not guess.
What the market is pricing. At 12.07x P/E (NSE), about 7.1x EV/TTM EBITDA, a 5.5% yield and net cash of Rs 570 cr (22% of the Rs 2,549 cr market cap), the price already assumes no growth and a structural discount for single-country exposure. Reported ROCE of 48.6% and 27% EBITDA margins are not what a business expecting a profit collapse trades on. The market is separating "cheap on trailing numbers" from "what is the sustainable earnings base if UK visa volumes keep shrinking": UK study visas fell from 446,029 (FY24) to 391,572 (FY26) while Crizac's share of them rose from 3.5% to 6.0%. That is share gain in a shrinking pool.
What tempers the cheapness. First, concentration is rising, not falling: UK was about 95% of FY25 revenue, 97.0% in FY26 and 98.7% in Q1 FY27, and the target "UK below 60%" has moved from two years to three. Second, guidance credibility: FY26 growth guided at about 30% (Aug 2025) came in at 22.7%; the long-term range slid from 20-25% to 15-17% to flat within about 12 months. Management's own defence, "we have not given any guidance", is hard to square with the transcript of 25 May. Third, institutions are leaving: FII holding fell from 2.48% (Dec 2025) to 1.17% (Sep 2026) and mutual funds to 0.35%, on a free float of about 20%.
Related parties are the part the first-pass research missed. The FY26 annual report confirms that the Rs 56.74 cr cash outflow cited on the Q4 call ("around INR 55 crores") was the last instalment of the GBP 7.15 mn (Rs 74.88 cr) break fee to Crizac Informatics Ltd UK. It was expensed in FY24, so FY26 profit was not hit, only operating cash flow. The Rs 103.56 cr software bought in Dec 2023 came from Crizac Technologies Pvt Ltd, which is promoter-family controlled, and Crizac Ltd still carries a Rs 30.99 cr FVOCI stake in that vendor (Rs 38.36 cr a year earlier). Standalone revenue is 84% intercompany fees from the UK subsidiary, which is why standalone Q1 PBT rose 27.4% while consolidated PBT rose 4.3%. Only consolidated numbers carry information.
The chair question I cannot close. Christopher Flood Nagle, 32, was UK CEO from 21 Mar 2024, received 15,00,000 of the 25,90,000 pre-IPO options (58%), left the UK CEO role on 2 Aug 2026 and became non-independent chair of the listed parent on 3-4 Aug. The break-fee counterparty is owned 38.73% by Flood 1 Ltd, whose London address (24 Great Chapel Street) matches the company's London office. [Est.] That is a name-and-address coincidence only. Companies House PSC data was not fetched. Until it is, this is an open question and nothing more.
What would change the view. (1) The Q2 print: management has pre-flagged it as weak, so the tell is not the revenue decline but whether enrolments, not just applications, hold up and EBITDA margin stays in 25-27%. (2) Evidence that H2, which is 60-65% of revenue, can deliver the "pent-up demand" recovery (H2 was about 64% of FY26 revenue, Rs 671 cr of Rs 1,042 cr; if H1 is -4% it needs only about +2% in H2 to reach flat for the year, and about +4-6% if Q2 falls 10-20% [Est.], so "flat" is not a demanding bar and the real test is whether Q3-Q4 hold). (3) A Companies House answer on Flood 1 Ltd. (4) The promoter lock-in expiry, about 7 Jan 2027 [Est.], and the minimum-public-shareholding path (promoters at 79.94% against a 75% ceiling). (5) Any move by universities on commission slabs ahead of the UK international student levy (GBP 925 a student from 1 Aug 2028).
Where I land. The balance sheet and cash generation make this an asset the portfolio can afford to wait on. The earnings base, related-party structure and the quality of guidance do not yet justify committing capital ahead of a weak Q2 and an unexplained slide. The verdict in Tab 13 is a watching brief with explicit triggers.

How it earns and the process
Revenue model. "Turnover represents commission received from universities... the cost of commission payable to the agents... is recognised in the same year." Universities pay Crizac first and Crizac pays agents later (in pounds), which gives a payables float. Payments can be reversed if a student drops out early (RHP risk). Gross margin is guided at 28-30%. Management: "67% to 70% of our expenses, agent commission, we pay directly to the agent in pounds." [Fact] Per-agent commission rates are not disclosed anywhere read.
Workflow. Agent lead, platform application, Crizac screening and document verification, submission to university, offer and acceptance, visa (student/agent), enrolment or census date, commission invoiced to university, agent share paid. Seasonality follows UK intakes: Q3 is about 30% and Q4 about 35% of annual revenue; Q1 and Q2 are troughs; visibility is "roughly between 6 to 9 months". Conversion is about 10% of unique applicants (about 47,000 unique applicants in Q1 FY27).

The "7.11 lakh applications" for FY25 in IPO notes is a cumulative FY23-25 figure, not annual. An aggregator claim of "1000+ partner universities" is unreliable. Network: 450+ universities, 12 destinations, 85+ source countries, on-ground presence in 11 countries; management says Crizac represents more than 95 of about 100 UK commercial universities.

FY25 comparatives: total income Rs 885.5 cr, EBITDA Rs 215.6 cr, PAT Rs 155.0 cr (RHP restated FY25: revenue Rs 849.49 cr, EBITDA Rs 212.8 cr, PAT Rs 152.93 cr). FY26 consolidated cost of services Rs 703.2 cr = 67.5% of revenue (results filing year column). TTM PAT Rs 220.4 cr = 219.1 - 45.8 + 47.1 (Q1 FY27 PAT attributable to owners, Rs 471 mn) [Est.].
Company EBITDA is struck after the Rs 74.9 cr exceptional, and Rs 128.6 cr of other income is excluded from it. Pro-forma figures used in earlier files (PAT 1,189.0 mn / EBITDA 726.4 mn) include the RHP's pro-forma consolidation. [Fact]
Other income of Rs 128.6 cr comprised an FVTPL fair-value gain Rs 52.4 cr, profit on sale of investments Rs 50.2 cr, derivative income Rs 12.2 cr and interest about Rs 8.3 cr (RHP MD&A pp.375-379). [Fact]
EBITDA before the exceptional would be Rs 146.5 cr (27.6% margin). About Rs 115 cr of the Rs 128.6 cr other income was investment marks and trading gains, so FY24 PAT quality was low. FY25 other income fell to Rs 35.3 cr consolidated. [Est.]

Q1 + Q2 + Q3 + Q4 FY26 revenue (2,095 + 1,622 + 2,786 + 3,917 = 10,420 mn) ties to FY26 Rs 10,422 mn. Q2 FY26 was first published with a unit error (Rs 860 lakh typed for Rs 86,000 lakh) and corrected with no profit impact; Scanx and HDFC Sky still show it at 10x scale.
Q2 FY26 39% margin was a mix and seasonal peak; management itself later normalised to 23-25%.
Q1 FY27 PAT margin: management said 22.6%; 471/2,012 = 23.4% (possibly total-income basis). Marketsmojo shows EBITDA margin 30.4% and one source PAT Rs 461.7 mn; the filing numbers above are used.

Correction to the research files: the gap-fill file listed consolidated PAT as Rs 4,716.56 lakh; the filing's own arithmetic (PBT 6,483.91 less tax 1,867.35) gives Rs 4,616.56 lakh, and Rs 4,712.84 lakh is the owners' share after adding back the minority-interest loss of Rs 96.28 lakh. The +2.9% and EPS Rs 2.69 are on the owners' share [Fact]. Tax was 28.8% of PBT (1,867.35 / 6,483.91).
Standalone PAT (Rs 52.9 cr) exceeds consolidated (Rs 46.2 cr total; Rs 47.1 cr to owners). Foreign subsidiaries (UK, UCOL) reported revenue of Rs 186.1 cr with a net loss of Rs 4.3 cr; the two small unreviewed subsidiaries revenue Rs 2.7 cr and net loss Rs 1.97 cr; non-controlling interest absorbed a Rs 0.96 cr loss. [Fact]
Management (Counter Cyclical question): "The Crizac India entity, on a standalone basis, has got few payments as a revenue, which has increased its profitability compared to overall consolidated basis. We have invested lot of money in Crizac UK and our subsidiaries for which we are expecting the effect to come in Q3." The analyst's Q4 FY26 comparison: consolidated PBT Rs 92 cr vs standalone Rs 50 cr.
Standalone revenue is about 84% intercompany IT-processing fees (FY26: Rs 224.59 cr of Rs 266.58 cr) from the UK subsidiary, so it is a transfer-pricing allocation with no independent signal. [Est.] FY26: standalone PAT Rs 166.85 cr (PBT 224.10 less tax 57.25) vs consolidated Rs 219.2 cr.
Consolidated Q1 PAT growth of 2.9% (owners' share; +0.8% on total PAT) was helped by a depreciation-method change (WDV to SLM) that cut D&A by Rs 1.25 cr (note 6) and a Rs 1.15 cr forward-contract/FX gain; the tax rate rose to 28.8%. Employee cost Rs 10.1 cr vs Rs 5.5 cr. [Est. / Fact] Q1 press release: PAT Rs 471 mn, EPS Rs 2.69, EBITDA Rs 600 mn (29.8%). Standalone EPS Rs 3.02.
Growth decomposition, margins and one-offs
Item
Finding
Why Q1 FY27 revenue fell while enrolments rose 15%
Constant-currency de-growth of about 4%: volume +15% but university mix changed, "we have missed couple of bonuses and couple of slabs for our top-ranked universities", lower revenue per student. Also Iran/Middle East war flight cancellations Feb-Jun and rupee volatility hit April-June intake
Organic vs inorganic
Acquired companies' revenue about Rs 6 cr in Q1 (CFO); acquisitions each "less than INR 10 crores... never to add on any benefit on revenue or EBITDA". Growth is organic
Volume vs price
FY26 enrolments +13.8%, revenue +22.7% (revenue per enrolment ~Rs 4.2 lakh FY26 computed as Rs 10,422 mn / 24,697; the financials file's ~Rs 4.0 lakh FY26 and ~Rs 3.55 lakh FY24 are not reconciled); FX helped: FY26 average GBP/INR 116 vs 105 in FY25
FX
Q4 FY26 FX/hedging gain Rs 1.28 cr; rupee depreciation added about 1-1.5% to margin; management called Q4 margin "transitional"
PAT converted to operating cash at 0.66x in FY26 (S&P operating cash flow Rs 144 cr vs PAT Rs 219 cr), but the finance chief (Manish Agarwal) states that net cash from operating activity was 56% of EBITDA "moderated by one of termination fees payment of around INR 55 crores"; adding back Rs 56.7 cr gives about 76% (company-quoted net operating cash Rs 158.3 cr + 56.7 = 215 vs EBITDA Rs 282.4 cr) [Est.]. The two operating-cash figures (S&P Rs 144 cr, company Rs 158.3 cr) are not reconciled in the research files. The break fee was expensed in FY24, so FY26 profit was not hit; only cash was. Cumulative FY22-FY26 S&P operating cash flow was Rs 538 cr against PAT of Rs 668 cr (81%; the research file's "Rs 649 cr / 83%" did not sum from its own PAT row). See Tab 6.

Net cash: Rs 467 cr at Mar-26 (free cash Rs 469.3 cr, borrowings Rs 1.8 cr; net debt/equity -0.91 as stated by the company, which recomputes to about -0.80 on a Rs 585 cr net worth) and Rs 569.5 cr at Jun-26 (Rs 5,695 mn; free cash Rs 5,711 mn) after Q1 operating inflow of Rs 91.2 cr (152% of EBITDA, seasonally flattered by Q4 collections) and no dividend in Q1. S&P's TTM cash of Rs 165 cr at Jun-26 conflicts and appears to exclude investments.
Goodwill rose from Rs 5.9 cr to Rs 24.4 cr in FY26 on Global Tree Careers and StudiesPlanet. Minority interest first appears in FY26 (Rs 7.8 cr). Minority shareholders hold 48.96% of Global Tree and 49% of StudiesPlanet.
FY24 step-up in intangibles: S&P capex Rs 120.1 cr vs about Rs 1.3 cr normal. This is the Rs 103.56 cr "central application management system" bought from Crizac Technologies Pvt Ltd (19 Dec 2023, valuer Mohit Jain report 2 Jan 2024), which drove the FY24-FY25 amortisation. [Fact]
Crizac Ltd's FVOCI stake in that vendor: Rs 30.99 cr at 31 Mar 2026 vs Rs 38.36 cr a year earlier, a Rs 7.4 cr mark-down through OCI (AR standalone note 9). [Fact]
Trade receivables Rs 238.5 cr (Mar 2026) vs Rs 256.4 cr; zero expected-credit-loss provision; terms 90-180 days (AR note 32.3). Contingent liabilities and commitments: none (standalone note 39, consolidated note 43). Payables roughly mirror receivables, so working capital is largely a pass-through: watch the net gap.
Net worth bridge FY26: Rs 503 cr + PAT Rs 219 cr - dividend Rs 140 cr + OCI/ESOP reserve and other = Rs 585 cr.

FY22-FY25 operating, investing and financing flows sum to the net change shown. FY26 does not: 1,441 + 243 - 1,511 = 173 against a reported net change of 467 (cash balance Rs 88.8 cr to Rs 135.5 cr, +Rs 46.7 cr). The Rs 29 cr gap is unreconciled in the S&P data; cash acquired with subsidiaries and FX are possible causes [Est.].
Divergence flags
FY23 OCF/PAT 0.47: PAT contained about Rs 15 cr investment gains and Rs 25 cr other non-operating income; working capital absorbed Rs 18 cr.
FY24: PAT swollen by Rs 103 cr investment gains then cut by the Rs 75 cr exceptional; OCF held at Rs 101 cr only because payables (+Rs 130 cr) funded the receivables build (-Rs 166 cr).
FY25 OCF/PAT 1.18 flattered by payables (+Rs 146 cr) outpacing receivables (-Rs 105 cr) and Rs 42 cr non-cash amortisation: a one-time timing benefit.
FY26 OCF/PAT 0.66: receivables released Rs 42 cr but payables unwound Rs 116 cr (net working-capital outflow Rs 73 cr), plus the Rs 56.7 cr break-fee cash. Screener CFO/operating profit: 111%, 120%, 76% for FY24-FY26 (CFO Rs 114 / 184 / 144 cr).
Cash tax Rs 74 cr is about 25% of PBT: no tax-deferral issue. FY26 non-cash ESOP charge Rs 5.5 cr.
Watch H1 FY27 OCF: if the Q1 net-cash jump (Rs 467 cr to Rs 570 cr in one quarter) was receivables collection rather than payables delay, the reversal comes later.

Related-party transactions (RHP and FY26 annual report)
A. Crizac Technologies Pvt Ltd: Rs 103.56 cr software purchase
Software Purchase Agreement dated 19 Dec 2023 bought all rights to the "central application management system" for Rs 1,035.60 mn; valued by registered valuer Mohit Jain (report dated 2 Jan 2024); no royalty beyond that (RHP risk factor 22). Before this Crizac paid it software-service fees of Rs 470.49 mn (FY23) and Rs 206.35 mn (FY24) (RHP note 47.2). Only the valuer's report supports "arm's length". FY24 other expenses fell as licence fees stopped, consistent with capitalisation [Est.].
The counterparty is therefore promoter-family controlled. Crizac carries its own 16.52% stake at FVOCI (Rs 30.99 cr, down from Rs 38.36 cr).
B. Crizac Informatics Ltd UK: GBP 7.15 mn break fee
Commercial agreement dated 1 Jan 2022 covered non-Indian-passport students. Crizac Ltd UK gave notice by phone on 7 Mar 2024; termination agreement 15 Mar 2024. Break fee GBP 7,150,000 ex-VAT = Rs 748.77 mn, payable over 18 months from 1 Apr 2024, with a 10-year non-compete on Informatics; Informatics agreed to transfer university contracts and revenues to Crizac Ltd UK (RHP risk factor 29; AR consolidated note 28). Booked as an exceptional expense of Rs 748.77 mn in FY24 (RHP note 39).

The RHP states no promoter or promoter-group member is a shareholder, director or ultimate beneficiary. It was a "Group Company" and a related party that "ceased 15 Dec 2023" per the RHP note, yet the FY26 AR still lists it among "enterprises where KMPs/close members have control/significant influence" (AR notes 45.2, 45.3). The two are inconsistent. [Fact] RHP wording on tranche sizes is also inconsistent (GBP 5.0 mn paid, GBP 2.15 mn outstanding at June 2025); unresolved.
The cash payment was the "INR 55 crores" the CFO cited on the Q4 FY26 call. It is not recurring and did not hit FY26 profit.
Open question, unverified: Nagle and Flood 1 Ltd [Est.]
UK CEO and now Chairman Christopher Flood Nagle shares the name "Flood" with Flood 1 Ltd (incorporated 21 Sep 2020), which Graphlytic shows at 24 Great Chapel Street, London, the same address as Crizac Ltd UK's London office. Companies House PSC data was not fetched, so beneficial ownership is unconfirmed. If a link existed, the break-fee recipient would be linked to the executive who now chairs the listed company. This is an inference from a name and an address and is not a finding.
Other related-party items (AR FY26, notes 43 and 45)
Crizac Ltd UK was acquired from Dr Vikash Agarwal in Nov 2023 (consideration Not Available in the files); the RHP carries pro-forma financials with an auditor emphasis-of-matter on the restated and pro-forma information (unmodified opinion). RPT policy last updated 14 Feb 2024. RHP risk factor: past RPT terms may not match arm's length; past corporate filings had "inadvertent" factual inaccuracies.
Not related parties: Inova (CS confirmed no promoter interest) and Edument (seller shareholder Chandra Shekhar Sharma has no known promoter link).

Governance red flags
Promoter-family counterparty for Rs 103.56 cr software and Crizac's own stake in it, marked down Rs 7.4 cr.
Rs 74.9 cr break fee to an entity whose RHP status (not a related party since 15 Dec 2023) conflicts with the FY26 AR listing; beneficial owners not confirmed.
Board churn in 2026 and an insider, non-independent chair.
Standalone profit depends on intragroup transfer pricing (a KAM); dividend policy is tied to standalone profit.
ESOP grants at Rs 257 and Rs 200 versus market Rs 145.70; Nagle holds 58% of the first grant.
Institutions exiting every quarter; promoter 79.94% with a 25% minimum public holding requirement.

Value share: the university keeps tuition; Crizac captures commission less the agent share (cost of services 67.5% of FY26 revenue); the ancillary layer (loans, visa, accommodation, forex) is being built. Pricing power sits with the universities (they set commission rates, slabs, bonuses and panel caps) and with the UK government (visa rules). Agents have moderate leverage (non-exclusive). Crizac's leverage is scale (about 13% of Indian students to UK HE; 6% of all UK study visas) and processing efficiency. [Analyst View]
Upstream: what Crizac depends on
Input
Detail
Raw materials, imports
None. Not a manufacturer; no import dependence. FX: GBP/USD receipts vs INR costs; FY26 average GBP/INR 116 vs 105
Agents / counselling partners (the real "supply" of students)
10,362 registered, 3,948 active (39+ countries) in FY25; 5,389 active FY26; 4,032 in Q1 FY27; 17,400 registered. India about half of flow; Africa and South Asia growing
Agent concentration
Top-10 agents Rs 84.38 cr = 9.93% of FY25 revenue (RHP via aggregator); the Q1 deck states about 0.5% of revenue / 24.5% of cost of services (inconsistent definitions, flagged)
Agent loyalty
Non-exclusive; may deal directly with universities or with IDP, ApplyBoard, Leap Scholar (RHP risk). Retention levers: technology, payout speed, university breadth
Agent payout
"67% to 70% of our expenses... we pay directly to the agent in pounds" (Q4 FY26 call p18). Exact per-agent %: Not Available
Technology and vendors
Cloud/hosting; platform bought from Crizac Technologies (related party); AI partners ForeignAdmits, EduMentor, ETS India. No named hardware suppliers
Input-cost pass-through
Agent commission is a share of university fees, so it flexes with revenue; fixed costs are staff and technology (employee cost +84% YoY in Q1 FY27)
Gating regulators
UK Home Office/UKVI (visa), UK Agent Quality Framework, CAS agent recording from 7 Apr 2026

Item
Detail
Customers
UK universities (mid-tier post-92 and Russell Group; mainly postgraduate Indian, South Asian and African cohorts), plus Irish and a few Canadian/ANZ institutions. End-product: enrolled degree seats
Contract tenor
Multi-year but terminable/renewable, non-exclusive, no minimum volume; non-renewal is an RHP risk. 20+ partners associated more than 5 years; top-30 average more than 5 years (secondary)
Stickiness
Moderate: universities can cut commission rates, cap recruiting partners or go direct (30-35% of applications already direct, per a secondary note)
Payment terms
Universities pay in 15-90 days (market note); consolidated receivable terms 90-180 days (AR)

Policy-driven contraction across the "Big 4" with diversion to Ireland, Germany, NZ, UAE, France and Asia; management says the diversion is not clearly to the UK.
Universities consolidate agents on compliance (AQF, CAS recording): positive for share, but gives universities leverage and data to go direct or trim panels.
Strong GBP/USD against weak INR raises student cost.
Ancillary monetisation (ETS, ForeignAdmits, EduMentor) and AI tooling lowering counselling cost, enabling lighter-touch rivals; management claims its network gives visibility digital platforms cannot replicate.
UK universities in financial stress (OfS report not retrieved, unverified) raise both reliance on international fees and pressure on commissions.

Barriers: real ones are university contracts and panels, agent network density (17.4k partners), historical conversion data, compliance infrastructure and working capital. Moat: narrow and policy-contingent. For: 13.9% share of Indian UK visas rising amid contraction; ROCE 40-49%; EBITDA margins 25-27% sustained. Against: customer concentration, commissions set by customers, non-exclusive agents, 97-99% single corridor, whole sector falling. Pricing power limited: fragmented supply facing consolidated demand. [Analyst View]
Market-position narrative
Rank: Crizac says it represents more than 95 of about 100 UK commercial universities and 6% of all UK study visas. Share gain is real but occurs in a shrinking pool (UK visas 446,029 to 391,572). Management attributes it to universities consolidating around fewer compliant agent partners. Absolute enrolments rose 13.8% in FY26 but Q1 FY27 applications fell 6.2%.

Confident but moderating
Q4 FY26 (25-26 May 2026)
Q4 revenue Rs 391.7 cr (+15.0%; +40.6% QoQ record); EBITDA Rs 93.9 cr (24.0%); PAT Rs 75.0 cr (+50.3%); FY26 revenue Rs 1,042 cr, PAT Rs 219 cr, ROE 37.2%, ROCE 48.6%; stock +10% to about Rs 224-237
"Full year, we expect to grow by 15% to 17%." Asked for firm guidance: "we are going to issue the guidance in next quarter... we believe we should grow in line with the same percentage what we have been growing year-on-year basis." EBITDA: "for the current year, we can see 25%-27% will be the number." Gross margin 28-30% (FX flattered). UK below 60% "next two years". Australia more meaningful in 3-6 months. NCOA 56% of EBITDA "moderated by one of termination fees payment of around INR 55 crores". Free cash Rs 469.3 cr, borrowings Rs 1.8 cr. EduMentor USD 2.5 mn; Medway team
Upbeat print, cautious on visibility
Q1 FY27 (4 Aug 2026)
Revenue Rs 201.2 cr (-4.0%); EBITDA Rs 60.0 cr (-7.6%; 29.8%); PAT Rs 47.1 cr to owners (+2.9%; total PAT Rs 46.2 cr, +0.8%); EPS Rs 2.69; net cash Rs 569.5 cr
CFO: "international travel disruption and widespread flight cancellations between February and June are expected to impact our Q2 performance. However, as mobility normalizes and based on our current application flow, we anticipate a recovery across Quarter 3 and Quarter 4... our full-year performance for FY27 is expected to remain broadly in line with FY26 levels." Vikash: "we have not given any guidance because we were not sure how the geopolitical things will play... even incorporating the pent-up demand, we feel we will end up in the similar line as last year." EBITDA margin "will be in the same range" (25-27%)
Cautious, mildly defensive
The "20-25% minimum" line seen in some sources is garbled in the Q4 transcript and attributed to the IR advisor's side of the exchange; it is not cited as management guidance. The Q3 FY26 long-term 20-25% is a separate, secondary-sourced item.

25 May 2026
"15% to 17%" FY27 growth; when an analyst cited an earlier "15% to 20%", Dr Vikash replied "We believe that we should achieve that one subjected to if the geopolitical things get settled soon" and said firm guidance would come the next quarter (T-Q4FY26 pp12, 18-19); EBITDA 25-27%; UK below 60% in 2 yrs; Australia in 3-6 months

Other Q&A (primary transcripts)
Topic
Management answer
Why Q1 FY27 revenue fell
"in constant currency terms, we have had a de-growth of about 4%, which is more because our volume has gone up by 15%, but the university mix has changed. As a result, we have missed couple of bonuses and couple of slabs for our top-ranked universities, which has resulted in a lower revenue per student." Plus "the war which is happening in Iran and Middle East between February and June, lot of flights got canceled. There was a very heavy fluctuation in rupee movement"
Standalone vs consolidated PBT gap
See Tab 5; recovery "in Q3"
UK concentration
"within next 3 years, we should be able to reduce our UK concentration to less than 60%" (Q1 FY27 p12); Q4 said two years; currently about 97%
Acquisitions
"Both the acquisition was less than INR 10 crores. And the rationale for acquisition was never to add on any benefit on revenue or EBITDA"; acquired revenue "around INR 6 crores"; Inova "a very small acquisition of less than INR 7 crores"
Ancillary
"the EBITDA would go up between 2% to 5%" and "1% to 1.5% of revenue" (p13); the two are hard to reconcile
Buyback
Float about 20%; "SEBI does not allow us to do a buyback at this level... we'll talk to our compliance team"; Q4: "we would be looking at all the pros and cons"
Conversion
"10% of all the unique applicants" convert; about 47,000 unique applicants in Q1
Top universities
Q4: "top 10 university partners account for 66% of our revenue"; Q1: analyst said three universities were 41% of Q1 revenue; management: seasonal, 10-15 universities have a Q1 intake
Seasonality and visibility
"Q3 is around 30% and Q4 is around 35% of the total revenue in general"; visibility "roughly between 6 to 9 months"
Cash conversion
"net cash flow from operating activity as proportion to EBITDA stood at 56% for FY26, moderated by one of termination fees payment of around INR 55 crores. If we exclude this outflow, our cash conversion would have been much higher."
Promoter dilution
"We still have two more years. So, whenever we find that the market is right, we will look into it. But we are not in a hurry to get it diluted"
Agent coverage
Crizac represents more than 95 of about 100 UK commercial universities (Q1 FY27 p14)
Contract pipeline in Australia/Canada/NZ (management: the biggest blocker); policy visibility; UK dependence; disintermediation (30-35% apply direct); agent payout creep; DSO about 110 days vs negative NWC days; FX flattering gross margin
Contradictions and tone trajectory
Applications called a leading indicator (6-9 month lag) yet Q1 FY27 applications -6.2% while enrolments +15%.
Acquisitions "EBITDA-accretive only" (Jan) vs "never to add... revenue or EBITDA" (Aug).
Dividend commitment: "next 2 years" after FY26 (CFO) means 3 years in total, not 2.
Margin guidance 25% (Aug 2025), 23-25% (Jan), 25-27% (May), and Q1's 29.8% flagged as non-repeatable.
"No capex" while employee cost rose 84% YoY; cash conversion 56% of EBITDA vs "cash-generative".
Q3 FY26 "~90% UK" vs 97% in annual data (earlier figure probably FY25- or application-based).
Tone: confident (Aug-Oct 2025), confident but moderating (Jan 2026), upbeat print with deferred guidance (May), cautious and defensive (Aug 2026). Management guides conservatively on margin and repeatedly over-estimates growth.

A 3-year average cannot be computed: listed only since 9 Jul 2025. Since listing the implied P/E range is roughly 11.5x to 27x and the stock sits at the bottom. IPO peers: IndiaMART (~29x), TBO Tek (~62x). Forward P/E (consensus per StockAnalysis) 11.9x implies flat-to-lower FY27 EPS.
[Analyst View] The market treats FY27 as a no-growth year and prices a structural discount for UK concentration rather than a cyclical dip. Scenario (illustrative, not a forecast): if FY27 PAT is flat at about Rs 220 cr, 10x / 12x / 15x implies Rs 126 / Rs 151 / Rs 189 a share on earnings alone. The Rs 570 cr of net cash is not added on top: its yield (other income of about Rs 29 cr, roughly 10% of PBT) is already inside PAT and so is capitalised at the same multiple, which means these values understate the stock if the cash is credited separately [Est.].

Bull case
Net cash of Rs 570 cr is 22% of the Rs 2,549 cr market cap; with 12.07x P/E and a 5.5% yield the stock pays for waiting, under a 40% standalone payout floor to FY28.
Share gains: Crizac's UK study-visa share rose 3.5% to 6.0% (Indian students 9% to 13.9%), and enrolments grew 15% in Q1 FY27 while applications fell; compliance rules favour large aggregators.
H2-weighted year with pent-up demand, 25-27% margins, ancillaries and non-UK markets as free options; ROCE 40-49%.
Bear case
One-country, one-policy exposure that is rising (98.7% UK in Q1), in a UK visa pool down 12% in two years and 16% in the latest year, with the Graduate Route cut (Jan 2027) and the GBP 925 levy (Aug 2028) ahead.
Management credibility and related parties: growth guide walked back from about 30% to 15-17% to flat, a Rs 74.9 cr break fee and Rs 103.56 cr software deal with promoter-linked or unverified counterparties, an insider chair and board churn.
Technical overhang and no sponsorship: institutions down to 4.08%, 20% float, lock-in expiry about 7 Jan 2027 [Est.], 25% MPS, underwater ESOP strikes, and a weak Q2 already pre-flagged.
Base case (12-18 months)
Most likely [Analyst View]: FY27 revenue flat to slightly down at about Rs 1,040 cr, with Q2 down and H2 recovering only partly; EBITDA margin 25-27% (about Rs 260-280 cr); PAT about Rs 205-220 cr; EPS about Rs 12. FY28 growth low-to-mid single digit as the Graduate Route cut bites. The stock stays in a 12-15x P/E band (about Rs 145-185) supported by a 4.5-5.5% yield; downside to about 9-10x (about Rs 110-120) if Q2/Q3 show enrolment declines or a top-3 university re-prices. Upside to Rs 200+ needs evidence that diversification revenue is real and UK volumes stabilise. These are scenario ranges, not forecasts.
Five things to remember
Price Rs 145.70 is a 15:17 IST intraday print on 21 Oct 2026 and a new 52-week low; the cause of the fall is unexplained.
Q2 FY27 is not out, no board date is announced (deadline 14 Nov 2026 [Est.]), and management has pre-flagged it as weak.
The Rs 56.74 cr FY26 payment was the last instalment of the GBP 7.15 mn break fee expensed in FY24; only cash flow, not FY26 profit, was affected.
Standalone PBT +27.4% / PAT +28.8% is intragroup transfer pricing; consolidated PAT to owners grew 2.9% (total PAT +0.8%) and revenue fell 4.0%.
Net cash Rs 570 cr, ROCE 48.6% and a 5.5% yield sit against 97-99% UK concentration and a 79.94% promoter holding with a lock-in expiry about 7 Jan 2027 [Est.].
Five questions before investing
Who ultimately owns Flood 1 Ltd, Quadrange UK Holdings and Buchanan Group, and is any of them linked to Christopher Flood Nagle? (Companies House PSC).
What do the Q2 FY27 applications, enrolments, university-mix and slab disclosures show, and does the 25-27% margin hold?
What is the revenue share of the top-3 universities by name, and are any contracts up for renewal in the 2027-28 cycle?
How will the promoters comply with the 25% minimum public holding, and will the stock absorb a block or OFS of about 87 lakh shares?
Is Rs 103.56 cr of software from a promoter-family vendor, still 16.52% owned by Crizac itself, fairly valued and used at arm's length?
Opinion [Analyst View]. Crizac is a cash-rich, high-return business priced at 12.07x earnings with a 5.5% yield, but the earnings base is exposed to one country's visa policy, management has walked its own guidance back, related-party dealings and an insider chair are unresolved, institutions are exiting, and the weak Q2 print and promoter lock-in expiry (about 7 Jan 2027 [Est.]) are both close. Valuation limits the downside; evidence does not yet support putting capital to work. Keep it on the watch list with explicit triggers: a Companies House answer on Flood 1 Ltd, a Q2 print showing enrolment and margin resilience, and clarity on the promoter sell-down path.

Report depth note
Crizac is a mainboard stock but a thin-disclosure name: 15 months of listing history, no rating, no debt, about 20% float, two sell-side analysts, and no social-forum footprint. Multi-year sections (dilution, credit, history) are short for that reason, not because of omission.
