CONFLICT DISCLOSURE
Aamara Capital Pvt Ltd and Aamara Ventures LLP were each allottees of 27,425 shares @ ₹937 in Kineco's May-2024 preferential issue (0.38% each of the post-issue base) [Fact]. Both held 88,050 shares each (1.22% each, ~2.44% combined) on the Jun-2024, Dec-2024 and Mar-2025 member lists, more than the original allotment [Fact]. The 88,050 ÷ 27,425 = 3.21x ratio matches other allottees (Kacholia, Agarwal, Praful Kumar, Suryatej, Unistone), suggesting allottees also took a pro-rata share of the Jun-2024 INL block at ~₹689, i.e. Aamara was likely part of the INL-exit consortium [Est.]. Member lists after Mar-2025 return HTTP 404, so the current holding is unverified. This report criticises the unnamed Nov-2025 rights placees and the unnamed Jul-2026 KTTPL swap allottees; readers should check Aamara's own records for any participation in either transaction. CONFLICT DISCLOSURE
Aamara Capital Pvt Ltd and Aamara Ventures LLP: allotted 27,425 shares each @ ₹937 (May-2024); held 88,050 shares each (~2.44% combined) per the Jun-2024, Dec-2024 and Mar-2025 member lists — likely including a pro-rata slice of the INL block at ~₹689 [Est.]. Current holding unverified; any participation in the Nov-2025 rights placement or Jul-2026 KTTPL swap should be checked in Aamara's own records. The verdict below is deliberately not softened by this interest. What happened. In 30 months Kineco went from a 51%-owned subsidiary of Indo National, rated BB+ (Negative) after an FY23 loss, to an investment-grade (ICRA BBB-) group with ₹433 Cr of revenue, two European rail businesses and a claimed order book above ₹3,000 Cr. It raised ₹168 Cr of equity (₹88 Cr at ₹937 in May-2024; ₹80.07 Cr at ₹3,006 in Nov–Dec 2025). Consolidated D/E fell from 3.06x (FY23) to 0.27x. The strategy announced in 2020 (acquisitions, globalisation) was delivered.
What the numbers say underneath. About 87% of the ₹188 Cr FY26 revenue increase was acquired; organic growth was about 13% [Est.]. Consolidated operating EBITDA margin (excluding other income) halved from 16.6% to 8.5%. The India standalone entity swung from ₹12.33 Cr PBT to a ₹1.98 Cr loss; its gross margin fell 860 bp to 44.9%. Semvac alone made ₹35.2 Cr PBT against group PBT of ₹26.6 Cr, and an unexplained ₹8.6 Cr "Other Non-Operating Expense" credit sits in subsidiary other income. Cash did not follow profit: consolidated OCF –₹8.4 Cr, standalone –₹23.6 Cr, India receivables up ~₹92 Cr in Q4-FY26 alone (252 debtor days).
Three PAT numbers, one share price. FY26 PAT was ₹24.64 Cr before the associate loss, ₹22.34 Cr after it, and only ₹8.10 Cr attributable to Kineco's owners, because 62.5% of KTTPL (which owned Semvac) belonged to unnamed outsiders who took ₹14.24 Cr. Reported EPS of ₹33.80 divides pre-NCI profit (₹24.64 Cr) by 72.89 lakh weighted shares; owners' EPS was ₹11.11 on the same weighted basis. Platform P/Es of 100–139x inherit that error.
What the market is pricing. At ₹3,350 × 77,53,811 shares, market cap is ~₹2,598 Cr: 116x pro-forma 100% PAT, ~163x if the ₹8.6 Cr item is excluded, ~321x owners' PAT, 9.7x book, 51.9x EV/EBITDA (70.6x on operating EBITDA). Listed rail and FRP peers trade at 17–19x P/E and 11–13x EV/EBITDA. The price is anchored to the company-commissioned ₹3,006 DCF used for both the rights issue and the KTTPL swap, not to earnings. Justifying ₹2,598 Cr at 30x requires ~₹87 Cr of sustainable PAT, about 4x FY26 pro-forma [Est.].
The thesis is Vande Bharat Sleeper. The >₹3,000 Cr book (up from ~₹100 Cr in Sep-2024) is mostly interiors for ~100 VB Sleeper trains, led by Kinet Railway Solutions (RVNL + Transmashholding). Kinet's prototype has slipped from Jun-2026 to Dec-2026 (Swarajya) to 31-Mar-2027 (RVNL CMD, 25-Aug-2026); I take Mar-2027 as the base case, so most of the book is unlikely to convert before FY28. Kinet's Russian shareholders (Metrowagonmash, TMH) are US-sanctioned, and Kineco now supplies partly through EU/UK subsidiaries. The trainset count itself is disputed (120×16-car vs 80×24-car).
Governance is the other half. A bargain acquisition that Kineco's management sourced (Semvac: ₹37.55 Cr paid for ₹62.38 Cr net assets) was housed in an SPV 62.5% owned by unnamed investors who paid an inferred ~₹31 Cr and received 2,84,086 Kineco shares worth an estimated ₹85–95 Cr (2.7–3.0x in ~19 months) [Est.]. The scheme implies directors and the promoter held KTTPL shares while stating "no material vested interest". Add the Gajanana LLP unwind at undisclosed prices, an ₹18 Cr non-compete fee to an unnamed party, rising guarantees (potentially ₹60–67 Cr) to the loss-making associate KECI where the CMD is MD, and a sole-proprietor auditor for a ₹433 Cr multinational group.
What tempers the bearishness. Semvac looks like a genuinely good purchase; the merger lifts Kineco's economic interest to 100% from FY27, so attributable PAT steps up mechanically. The aerospace franchise (sole P-8 console supplier since 2013; NADCAP/AS9100) and defence ToT positions are real. The MCF arbitration was won and cash recovered. Net cash at group level (~₹9 Cr) — though India alone carries ₹36.4 Cr net debt.
Bottom line. A credible composites franchise with a transformational order book, priced as if that book has already converted at historical margins, while the audited India core is loss-making and cash-negative and the governance record around the KTTPL vehicle is poor. Negative at ₹3,225–3,400.

Supply Chain
↑ Upstream — What Kineco Depends On
| Input | Use | Source / dependence |
|---|---|---|
| Carbon fibre, carbon prepregs | Aero, defence, bridges, KECI spar caps | "Critical imported input" from Japan/USA; no Indian scale production; oligopoly (Toray, Hexcel, Syensqo, Teijin) |
| Glass fibre, aramid | Rail, industrial | Largely domestic/distributors [Est.] |
| Epoxy, vinyl ester, polyester, phenolic resins | All; phenolic for EN 45545 rail | Oligopolistic (Huntsman, Solvay etc.) |
| Honeycomb/foam cores; aluminium | Panels; TRB | – |
| Bought-out rail systems | Turnkey interiors | Sanitary hardware, door drives/electronics, seats; rising share; Semvac/TRB now captive ("reducing reliance on external suppliers") |
| Consumables, tooling materials | Release agents, bagging films | – |
| Purchase metric (₹ Cr) | FY25 | FY26 |
|---|---|---|
| Standalone purchases, stores & spares | 75.2 | 140.7 |
| Consolidated purchases | 146.8 | 239.1 |
| RM inventory standalone (in transit 2.73) / consolidated | – | 37.0 / 88.2 |
| FX outflow (import proxy) | 18.10 | 13.52 (~10% of SA purchases) |
| Advances to suppliers | 4.0 | 16.1 |
| Standalone trade payables (MSME) | 52.2 | 107.4 (17.1) |
Named suppliers: Kineco's own arm's-length suppliers are not disclosed. Only Kaman Composites–Vermont (₹0.017 Cr, FY25). KECI-level: Exel Oyj (material + ECB ₹21.58 Cr), Diversified Structural Composites (USA), Nanjing Jingheng Composite Material (China, ₹0.55 Cr fixed assets FY26), Exel UK; Zoltek (carbon fibre to KECI, guaranteed). Unhedged FC payables small: USD 1.50 lakh, EUR 0.26 lakh, GBP 0.16 lakh. Pass-through: weak — ICRA: contracts "do not have pass-through mechanisms"; L1 PSU tenders; LDs. Single-source: OEM-qualified prepregs (BAC5317, BMS, NADCAP) require requalification. ~40% of FY26 aero realisation lost to supply-chain disruption.

Where pricing power sits
(1) Carbon-fibre/prepreg makers: high — Kineco is a price-taker. (2) Kineco vs Indian rail/defence PSUs: low (L1, no pass-through, LDs), moderate only in sole-qualified niches (sonar domes, CFRP bridge) and negotiated turnkey work (Kinet). (3) vs aerospace primes: low-to-moderate; stable ~21% Aerospace PBIT (FY25). (4) Semvac: moderate-to-high on spares/retrofit, competitive on new-build. (5) System integrators and end users (IR, BAE/Boeing, EU OEMs) hold the power. Value capture highest in qualified aerospace and European aftermarket; lowest in tendered Indian rail interiors — where the ~₹1,800 Cr volume lies.Competitive Position
| Business line | Kineco position | Competitors |

Porter's Five Forces
| Force | Rating | Rationale |
|---|---|---|
| New entrants | Medium | Certification barriers vs well-funded groups (Tata) |
| Buyer power | High | Monopsony buyers; L1; LDs; no price variation; stretched receivables |
| Supplier power | Med-High | Imported/oligopolistic fibres and resins; FX |
| Substitutes | Medium | Aluminium, thermoplastics, bio vs vacuum toilets |
| Rivalry | High | Tata, ORIL, global tier-1s, small FRP shops; Evac/Wabtec; Tata/Dynamatic/HAL |
Barriers: high in aero (AS9100, NADCAP, 2–5-yr qualification), defence (ToT, clearances), rail (RDSO, IRIS, EN 45545); low in generic FRP. Moat durability: durable — defence/space qualification, Semvac base, IRIS/RDSO; eroding/untested — Kaman linkage (no FY26 Kaman RPT sales; standalone exports –11%), chair-car share, generic FRP. Pricing power: weak — consolidated operating EBITDA margin (audited) 15.8% FY21 → 11.1% → 4.2% FY23 → 14.9% → 16.6% → 8.5% FY26 (ICRA standalone basis: FY22 7.5%, FY23 –2.5%).

Tone: 2020–23 aspirational then silent; 2024 deleveraging; 2025 confident/acquisitive; 2026 two voices — promotional press vs defensive statutory filings. Recurring themes: rail interiors core; European bolt-ons; Vande Bharat; "large railway order" since Sep-2024; equity raises at stepped-up prices; profitability always "next 2 years". Contradictions: 100 trains (PR) vs 120 (Kinet contract) vs 80×24; book "Mar-2026" vs "May-2026"; press rail –23% vs audited +67%; ICRA calls Kinet "Indian Railways"–TMH (it is RVNL–TMH); TRB stake 100% / 51-49 / 50.6-49.4; TRB "goodwill ₹740.7 lakh" under "bargain purchase"; employees 400 / 424 / 750 / ~1,000; plants 3 / 7 / 9. ICRA constraints: "modest scale", top-5 >90%, L1, no pass-through, "~60% of the revenues accruing from key customers", "stretched receivable payments from the railway sector". Credibility: strategic promises met (deleveraging, acquisitions, the large railway order); profitability and cash promises repeatedly missed or deferred.

Growth, Outlook & Valuation
Order book (do not add; definitions differ)
| Date | Figure | Scope / source |
|---|---|---|
| Sep-2024 | ~₹100 Cr | Standalone rail/defence/industrial (ICRA) |
| FY25 | ₹143 Cr / ₹20.36 Cr | Railways / Defence order intake |
| FY25 | ₹103.79 Cr PO | Kinet: first 2 prototype VB Sleeper trains (ICRA "~₹100 Cr") |
| 30-Sep-2025 | ~₹497 Cr (~₹490 Cr in hand) | ICRA; top-5 >90% |
| FY26 AR | Railways ~₹1,800 Cr | Incl. 100 VB Sleeper trainsets; 5–6 yrs |
| FY26 AR | Aerospace ~₹500 Cr | LTAs/POs over 5 yrs + ₹1,000 Cr pipeline |
| Mar/May-2026 | >₹3,000 Cr (~US$313 M) | Consolidated incl. Global Rail; IR and "multiple private train builders" |
Implied inflow ~₹3,000–3,300 Cr in ~12–14 months; book-to-bill ~7x; cover ~6.9x consolidated / ~12.6x standalone revenue [Est.]. Composition inferred: overwhelmingly VB Sleeper (Kinet + a second builder), then sonar domes, UAV airframes, Semvac backlog, industrial. No customer breakdown disclosed. Other caution: UnlistedZone's "35-year maintenance contract" is Kinet's with IR, not Kineco's.
Vande Bharat Sleeper — trainset count and prototype dates
| Item | Version | Source |
|---|---|---|
| Kinet scope | 120 trainsets (16-car, 1,920 cars) + 35-yr maintenance | FY25 AR; Rolling Stock World; Railway Minister Jul-2025 (The Week/PTI, ThePrint) |
| Kinet scope | 80 trainsets × 24 cars (renegotiated) | The Machine Maker |
| Kineco scope | 100 trainsets across IR and private builders | FY26 AR; May-2026 press |
| Prototype | Jun-2026 (original) | RVNL |
| Prototype | Dec-2026 | Swarajya (RVNL revision) |
| Prototype — base case | 31-Mar-2027 | RVNL CMD at RVNL AGM 25-Aug-2026 (Railway Supply, Swarajya) |
Most of the book unlikely to convert before FY28; FY27 relies on Semvac plus the legacy India book. Series production at Latur follows prototype. Capacity readiness: ₹19 Cr + ₹25 Cr TLs (₹4.27 Cr drawn), CWIP ₹7.9 Cr, commitments ₹19.2 Cr — build-out barely started.

IPO: no DRHP; gating items — 2–3 years clean standalone profit, VB revenue flowing, auditor upgrade, segment disclosure; filing before FY28 numbers looks ambitious [Analyst View]. Lock-in 6 months post listing.
Final Verdict
Bull case
- ₹3,000 Cr+ book (100 VB Sleeper trains, ₹1,800 Cr rail, ₹500 Cr aero LTAs) converts from FY28 at ~16% margins.
- Semvac bought at ~1x PBT; 100% ownership from FY27 lifts attributable PAT mechanically; vacuum-toilet conversion in India.
- Investment-grade, net-cash group with sole-supplier aero and ToT defence positions; IPO re-rating optionality.
Bear case
- Kinet slips further / sanctions bite (US-sanctioned TMH/MWM; EU/UK subsidiaries in supply chain); book converts late at L1 margins.
- India core loss-making and cash-negative (OCF –₹23.6 Cr, 252 debtor days); Semvac profit partly non-operating (₹8.6 Cr).
- Governance: KTTPL value transfer, KECI guarantees up to ₹60–67 Cr, sole-proprietor auditor; valuation 6x peers with ~16% bid-ask.
Base case (12–18 months) [Analyst View]
FY27 shows a jump in attributable PAT from the NCI elimination, but standalone India stays weak until the Kinet prototype (base 31-Mar-2027) clears; collections of the Q4-FY26 receivables decide whether ICRA holds BBB-. Unlisted price range-bound around the ₹3,006 DCF anchor; no DRHP before FY28 numbers.5 things to remember
- Three PATs: ₹24.64 / ₹22.34 / ₹8.10 Cr — owners got ₹8.10 Cr.
- Operating EBITDA margin 8.5% (reported 11.5%); India standalone 6.3% and loss-making.
- ~87% of FY26 growth was acquired; Semvac PBT exceeds group PBT.
- Market cap ~₹2,598 Cr on 77,53,811 shares; platforms' ₹2,445 Cr uses a stale count.
- KTTPL outsiders: inferred ~₹31 Cr → est. ₹85–95 Cr of Kineco stock; names undisclosed.
5 questions before investing
- Who were the KTTPL holders and 28-Jul-2026 allottees, and what did directors/promoter hold?
- What is the ₹8.6 Cr "Other Non-Operating Expense" credit and the ₹18 Cr non-compete counterparty?
- Kinet contract value, delivery schedule and sanctions ring-fencing; who is the second VB builder?
- Why did the promoter skip his rights entitlement, and at what prices did Gajanana's shares move?
- How will KECI guarantees be capped, and which entity owes the Exel ECB?
