Analyst Notes
The lead analyst's first-person read, written before the data tabs. [Analyst View] throughout unless a figure is labelled.
The growth is real, and I want to say that first. FY26 consolidated revenue more than doubled, from ₹116.11 Cr to ₹242.98 Cr (+109%), and PAT rose from ₹6.87 Cr to ₹16.54 Cr (+141%). Q1 FY27 kept the YoY trend going: revenue ₹50.84 Cr (+72%) and operating EBITDA margin 10.2% against 6.5%. Management guided "~50%" growth for FY26 and delivered roughly twice that. Leverage is low, with net debt/equity ~0.23x and interest cover ~9.4x. CRISIL assigned an investment-grade BBB-/Stable in August 2026. On the P&L, this is a genuine inflection from a decade of ₹70–116 Cr revenue and near-zero profit.
The cash has not followed the profit. From FY22 to FY26, cumulative consolidated PAT was +₹25.6 Cr and cumulative operating cash flow was −₹15 Cr. That is a ~₹41 Cr gap absorbed by working capital. In both inflection years CFO was negative: −₹15 Cr in FY25 and −₹5 Cr in FY26. The FY26 cash-conversion "improvement" to ~81–84 days came almost entirely from stretching creditors to ~148 days (payables ₹22 Cr to ₹82 Cr). Debtors are still ~153 days, and ~₹29.8 Cr of receivables were over six months old through FY23–FY25 with negligible provisioning. Growth has been paid for by equity (₹26.15 Cr preferential plus ~₹23.5 Cr of FY26 warrant money), supplier credit and ~₹25.8 Cr of asset sales. I also cannot explain where ₹18.77 Cr of FY26 warrant money went. It left as an "other investing" outflow that ties to the paisa with the residual financing inflow, and interest received jumped from ₹0.11 Cr to ₹1.22 Cr. If it is lien-marked FDs, it is benign. If it is loans or ICDs, possibly to related parties, it is a sharp red flag that also bears on the "no deviation" statements. Until the FY26 annual report notes are read, I treat it as an open red flag.
The governance record pulls the other way. The company has twice stopped cooperating with a rating agency and then switched. India Ratings moved it to "Issuer Not Cooperating" and withdrew in July 2025, a month after Infomerics had assigned BBB-. Infomerics then downgraded it to BB+/Negative INC on 31-Jul-2026 after six unanswered information requests. CRISIL assigned BBB- on 26-Aug-2026, and the Infomerics rating was withdrawn on 17-Sep-2026. I read that as rating shopping. The promoters took 7.86 lakh warrants at ₹81 with 25% upfront in August 2024 and converted them on 5-Jan-2026 with the stock at ~₹300+ (10-day VWAP ₹313.18; 90-day VWAP to 11-Feb-2026 ₹354.94). They then took 15.40 lakh of the ₹263 warrants. The FY25 auditor flagged that stock statements to Canara Bank overstated inventory in all four quarters, by up to ₹7.11 Cr. Royalty flows to a promoter LLP. Two of three independent directors also sit on the board of the promoter-linked Panabyte. The audit fee is ₹2.75 lakh.
The capex vehicle is a non-going-concern shell. Management announced "up to ₹100 Cr" of ESDM capex through Technofy Digital. Technofy has had nil turnover for three years, negative net worth of −₹2.46 Cr (FY25) and an unprovided ₹1.36 Cr loan from the parent, and its accounts are prepared on a non-going-concern basis. The plan then disappeared from the August 2026 deck. A new Hong Kong subsidiary (Quantron Technology) was incorporated in September 2026 with no stated purpose.
What the market is pricing. At ₹569 the stock is worth ₹911 Cr, ~47x trailing PAT of ₹19.32 Cr and 8.6x book. On a fully diluted basis (the ₹263 and ₹355 warrants plus ESOP), P/E is ~57–62x. There is zero institutional ownership and no broker coverage. The register has 3,915 holders. The stock is printing consecutive 5% upper circuits on trivial volume: the 5-Oct lock traded ~₹0.24 Cr. That is a price set by a thin retail and insider float, not by price discovery. Even on reported numbers, the P&L only "earned" the multiple through a single Q4 at 16.2% OPM. Q1 FY27 reverted to 10.2%, and gross margin has been flat at 16.6–16.9% for three years, which contradicts the "mix shift" story.
My conclusion. This is a real business that is growing fast but converts poorly to cash, run by a control environment that has not kept pace, and priced as if the cash will arrive. I would not own it at ₹569. I would change my mind on four pieces of evidence: the ₹18.77 Cr asset being FDs; two consecutive years of positive CFO with debtor days below ~120; a first institutional holder or broker initiation; and a clean FY26 CARO with no bank-statement mismatches.

Margin, one-offs and earnings quality
- Seasonality: Q4 was 57% of FY24, 52% of FY25 and 41% of FY26 revenue; H2 FY26 was 72%. Q1 revenue fell ~51% QoQ (FY26) and ~49% QoQ (FY27). CRISIL flagged ~50% Q4 concentration as early as 2019. [Fact]
- Q4 FY26 margin spike: OPM 16.2% vs 8.55% in Q3 and ~6.4–6.5% in Q1–Q2. CRISIL's upgrade trigger requires OPM above 9% sustained. Q1 FY27 was back to 10.2%.
- Recurring exceptional items: −5.18 (FY20), −2.50 (FY21), −0.81, −0.49, −3.23 (AR −4.35: unrecoverable advances to foreign suppliers plus GST credit loss), +1.23, −3.23 (FY26 standalone ₹346.44 L: gratuity past-service cost under the new Labour Codes plus write-off of long-outstanding customer dues).
- Unexplained negative standalone Q4 FY26 other income of −₹1.69 Cr, possibly FX/MTM.
- Cost structure: combined material plus manufacturing cost was 88% (FY22), 90%, 86%, 85% and 83% (FY26). Employee cost is 3–4% of sales and other cost 2–3%. This is a trading- and assembly-heavy structure.

Open red flag: the ₹18.77 Cr FY26 asset
"Other financing items" were +₹23.54 Cr. Less the ₹4.77 Cr promoter warrant conversion, that leaves ₹18.77 Cr, which matches "other investing items" of −₹18.77 Cr exactly. | Interpretation | Implication | Evidence for / against |
|---|---|---|
| (a) Earmarked / lien-marked fixed deposits | Benign; economic net debt falls to ~₹6 Cr; EV ~₹917 Cr; EV/EBITDA ~30.3x | Against: Screener cash only ₹3 Cr. The company's own net D/E 0.21x and net debt/EBITDA 0.81x back-solve to ~₹22 Cr net debt, so the company does not count this as cash |
| (b) Loans / ICDs, possibly to related parties | Sharper red flag. Bears on the Reg-32 "no deviation" statements (objects: growth, working capital, GCP) | For: loans and advances +₹17 Cr; precedent of ICDs (Neer Green ₹31.50 L / ₹66.87 L); interest income jump |

Supply Chain
↑ Upstream — what Panache depends on
| Input | Named / likely source | Country | Notes |
|---|---|---|---|
| CPUs / chipsets (x86) | Intel (Titanium partner) | US design; US/Asia fab | Effectively single-platform; no AMD/ARM partnership disclosed |
| Motherboards, SKD laptop kits | Prittec Technology (Singapore), China-origin; last shipment Jul-2025 | China | Laptop production depends on imported SKD |
| Displays, IFP panels, AV, surveillance, network sub-assemblies | Hena Group (last Sep-2023); Guangzhou HD Electronics (2017); Chunghsin Technology (2019); Eastern Communication (2021) | China | ~93% of shipments China, ~7% Taiwan; 1,055 shipments 2007–25 from ~10 partners (ImportGenius; per-supplier counts inconsistent, omitted) |
| Industrial boards, barebones | Shuttle Inc. | Taiwan | Partner since 2022 |
| Storage | Western Digital, Seagate | US brands; Asia fab | Named partners |
| OS / licences | Microsoft Windows; Google EDLA/GMS | US | Without EDLA, Android IFPs cannot ship the Play Store. Google dropped from Aug-26 partner slide |
| Memory, 4G/5G modules, camera sensors, batteries, plastics, sheet metal, packaging | Not named | Global | BOM shares not disclosed |
| Mechanical design | Cadcord (26% associate) | India | Captive design |
- Supplier concentration: ~38% of procurement from one supplier (Infomerics, Jun-2025).
- Single-source risks: Intel CPUs; Google EDLA licensing; possibly one trader of record per programme.
- Pass-through: high in CLM, where the BOM is customer-specified (conversion fee). In DLM Panache captures savings but bears inflation. Government tenders are usually fixed price, so memory, panel and FX swings are absorbed. No escalation clauses disclosed. CRISIL flags volatile semiconductor, RAM and HDD costs.
- FX: USD-denominated imports; hedging policy undisclosed; FX at payment-date rates (Ind AS 21 departure); FY25 forex outgo not confirmed.
- Tax signal on purchases: three GST ITC orders in 18 months (Feb-25 CGST Thane penalty ₹1,28,66,306; CGST Bhiwandi; Jul-26 Kalyan ₹2.22 Cr), pointing to supplier-side compliance quality.
- Mitigation plan: Technofy ₹100 Cr capex "to cut component import dependence"; ECMS (₹40,000 Cr) could localise the BOM.

Strengths and weaknesses vs each peer
| Peer | Panache stronger | Panache weaker |
|---|---|---|
| Netweb | Broader basket; lower absolute valuation | Proprietary HPC IP; ~9x revenue; RoE ~27%; institutions |
| Dixon | Nimble on small custom lots; higher % margin | ~200x smaller; no anchors; 150–200 debtor days |
| Syrma | Similar EBITDA %; faster growth | Blue-chip clients, R&D, ~20x scale |
| Kaynes | Asset-light; higher closing RoE | Backward integration, defence book; Kaynes also at 154 debtor days |
| Optiemus | Faster growth; 11% vs 5.5% margin | ~7x scale, global JVs |
| DC Infotech | ~2x margin; PLI angle | ~3x revenue; steadier; RoE 19.6% at half the P/E |
| Rashi | 11% vs 2.9% margin | ~65x revenue; authorised-distribution moat |
Porter's Five Forces
| Force | Intensity | Rationale |
|---|---|---|
| New entrants | High | 27 PLI 2.0 approvals; EMS majors entering IT hardware; IFP/CCTV importers |
| Supplier power | High | Concentrated CPU, memory, panel vendors; USD pricing |
| Buyer power | High | L1 tenders; OEMs dual-source; CRISIL 2020 "limited pricing power" |
| Substitutes | Medium | Cloud/VDI, smartphones, imported CBUs |
| Rivalry | High | Fragmented low end, consolidated top; L1 bidding |
Barriers to entry are low to moderate: tender pre-qualification, certifications (BIS, STQC, trusted-source, ISO), working capital for 300–320 GCA days, and silicon-vendor relationships. The moat is narrow and fragile, and CRISIL flags technology-obsolescence risk. Pricing power is weak. [Analyst View]

Final Verdict
Bull case
- FY26 revenue +109% and PAT +141%, beating 50% guidance; Q1 FY27 +72% YoY; CRISIL investment grade; debt only ₹27.75 Cr.
- Promoters commit ~₹30 Cr of exercise money at ₹263, and rising issue prices (₹81 → ₹263 → ₹355) signal insider conviction; no pledge.
- A first broker or institutional entry via the new IR advisor could re-rate the stock toward its 58x median P/E (~₹700).
Bear case
- Profits do not convert: CFO negative in both inflection years; ₹18.77 Cr of warrant money in an unidentified asset; payables-funded CCC.
- Governance: rating shopping, bank-statement mismatches, cheap promoter warrants, non-going-concern capex vehicle, 21–31% dilution overhang.
- Lumpy, Q4-skewed revenue with ~43% from one customer (mixed sources); FY26 margin rests on one quarter; 0% institutions and circuit-locked price on ~₹0.24 Cr volume. A Q1-style reversal could reprice to 25–35x (₹300–420).
Base case (12–18 months)
Revenue keeps growing at 40–70% YoY with Q4 lumps. OPM settles at 9–11%. CFO stays near zero as receivables grow. Warrants convert by May-2027, adding ~22–26% to the share count. P/E compresses toward 35–45x on diluted EPS, so the stock struggles to compound from ₹569 even if earnings rise. [Analyst View]
Five things to remember
- NSE-only listing; BSE 538742 is Panabyte, not Panache.
- Σ CFO FY22–26 −₹15 Cr against Σ PAT +₹25.6 Cr.
- Two "Issuer Not Cooperating" episodes in 13 months, each followed by a new agency.
- Fully diluted share count up 21–31%; promoters converted ₹81 paper with the stock ~₹300+.
- ₹911 Cr m-cap with zero institutions; price set on a few thousand shares a day.
Five questions to ask before investing
- What exactly is the ₹18.77 Cr FY26 interest-earning asset, and who is the counterparty?
- Who is the ~43% customer, what are the payment terms, and how much of the ₹102 Cr receivables is theirs?
- Why did the company not cooperate with India Ratings and Infomerics, and did the FY26 CARO again show bank-statement mismatches?
- Why fund ₹100 Cr of capex through a non-going-concern subsidiary, and what is Quantron HK for?
- What PLI incentive has actually been received, and what is the order book behind FY27?
