Analyst Notes

Editorial read by the Aamara Capital lead analyst, 08-Oct-2026. Everything here is [Analyst View] unless a number is cited; numbers are reconciled to Tabs 5, 6, 11 and 12.

What happened. Sona went through its worst stretch since listing in Q1–Q2 FY26: China cut heavy rare-earth magnets (8-Apr-2025, ~3 weeks of motor output lost), US BEV demand collapsed after the $7,500 credit ended, its largest EV customer's single model faded, the founder-chairman Sunjay Kapur died (12-Jun-2025), MSCI deleted the stock (26-Aug-2025) and FIIs dumped ~6 pp in one quarter. The stock bottomed at ₹403 (30-Sep-2025). Twelve months later it is ₹804, near the ₹844 high, after four record revenue quarters, BEV revenue +107% YoY in Q1 FY27 (44% of auto revenue), two DENSO JVs and a "Sona 2.0 / 10x in 10 years" relaunch with a robotics vertical.

But the growth print is less organic than it looks. Q1 FY27 revenue of ₹1,310 cr (+54%) compares against a Q1 FY26 that carried only one month of the railway division; FY26's +26% includes 10 months of railway (₹973 cr revenue, ₹149 cr PAT, ≈21.7% of revenue). Note: 31% is the total non-auto share, not railway alone. Organic growth is not disclosed; ex-railway FY26 revenue was roughly flat [Est.]. The core driveline/motor story is recovering, but the headline growth rate overstates it.

Margins are drifting down, not recovering — yet. Statutory EBITDA margin: 28.3% (FY24) → 27.3% (FY25) → 24.3% (FY26) → 22.5% (Q1 FY27; company basis 23.1%). Four straight quarters of decline. The band was cut from 24–26% to 23–25% in Apr-26 and Q1 FY27 sits at the floor. Each quarter carries a fresh explanation (PLI base, railway mix, traction-motor mix, commodity lag, labour code, Haryana wages, gas). Management promises recovery from Q2 FY27 — the late-October print is the test.

Capital efficiency has de-rated. The ₹2,400 cr QIP (Sep-24) sat as cash, then went into the ₹1,642.6 cr railway deal with ₹855 cr of RDSO licences and ₹205 cr goodwill. RoCE fell from 18.4% to 15.4–15.8% (company basis; ~14% on total capital), RoE to 11–13%. FY26 OCF fell 15% to ₹659 cr while EBITDA rose; cash conversion cycle jumped 78 → 121 days; FCF ₹167–290 cr depending on basis. FCF yield is 0.3%.

The order book is a lifetime-value pipeline, not a backlog. ₹24,000 cr (64% EV) is the discounted lifetime value of awarded programmes over ~8–10 years, on OEM indicative volumes, with "no firm commitments". It peaked at ₹26,200 cr (Q1 FY26), then management removed ₹3,600 cr of low-visibility programmes. It has been flat at ₹23,500–24,000 cr for four quarters even after adding railway (₹1,200 cr) and robotics (₹800 cr). Quarterly consumption ₹1,500 cr vs ₹1,310 cr revenue shows how it should be read.

The DENSO deal is validation and partial monetisation at once. DENSO pays for 49% of the 2W/3W traction-motor business at ₹1,750 cr EV (Sona keeps 51% and control; ~₹857.5 cr cash) and controls the 4W+ high-voltage JV (DENSO 51% / Sona 49%). Good for credibility and royalties, but Sona sells half of what it called its highest-growth engine six months earlier, and 4W HV economics go off-balance-sheet.

Governance: clean company, contested promoter. Board is 6/9 independent with an independent chair; audit is unmodified; no pledge; no material RPTs. But ownership above Aureus (28.01%) is in three-way litigation (will, RK Family Trust, RIPL) under Supreme Court mediation (report ~2-Nov-2026). That an "effectively frozen" promoter stake rules out a sale/pledge is our inference [Analyst View] — no order directly restrains Aureus itself. An independent director (Shradha Suri) is executor of the contested will.

What the market is pricing. At 69–73x trailing, ~42–44x EV/EBITDA and ~60x FY27E / ~47x FY28E consensus EPS, the stock prices the Sona 2.0 story in full: ~29% EPS CAGR FY26–28E, margin recovery, robotics optionality. That is 14–19% above its own 3-year average P/E (~61x), ~1.3–1.4x the domestic peer median (52.7x) and ~6x global driveline peers on EV/EBITDA. The price already sits above the aggregator average target (₹778) and within ~3% of the post-July median (₹830, same with or without aggregator-only calls). We like the business; we do not like the entry point.

Management, Promoters & Governance

Summary. The company is professionally run (MD & Group CEO Vivek Vikram Singh; 6 of 9 directors and the chair independent; unmodified audit; 0% pledge; no material RPTs). The key risk sits above the company: ownership of Aureus Investment Pvt Ltd (AIPL, 28.01%) is litigated in three matters — the Karisma Kapoor children's will suit, Rani Kapur's suit to cancel the RK Family Trust (~65% of AIPL), and the RIPL board fight (RIPL ~27% of AIPL). No order directly restrains AIPL from selling or pledging its Sona shares [Fact]; that the stake is "effectively frozen" during litigation is our inference [Analyst View].

Where pricing power sits [Analyst View]. Upstream: low–moderate (commodity price-taker; magnets de-risked by redesign). Versus auto OEMs: moderate — competitive sourcing ("prices are set by your competitors"); margin comes from cost and engineering, few qualified rivals. Railway: higher (RDSO gate, few vendors, budget-driven — FY27 rail capex ₹2.93 lakh cr, +10.5%) but single buyer. E2W/E3W motors: lowest (imported sub-assemblies, questionable rival PLI claims). OEMs capture most value; more in-house e-axles push Sona toward sub-systems.

Narrative arc. Two bad quarters (Q1–Q2 FY26) from rare earths, NA EV collapse, a European customer's supply-term change and the chairman's death → order-book clean-up → revenue acceleration (Q3 +39%, Q4 +47%, Q1 FY27 +54%, railway-assisted) → "Sona Comstar 2.0" relaunch (DENSO JVs, robotics). Tone: cautious (Q4 FY25) → defensive (Q1 FY26) → confident (Q2–Q3) → confident with margin caveats (Q4) → expansive "10X" (Q1 FY27).

Bull case

  1. Engineering franchise compounding into new engines. BEV +107% (Q1 FY27), suspension motors triple-digit, railway ~+28% run-rate, EU rivals insolvent, RFQs ~3x — consensus 29% EPS CAGR is achievable.
  2. DENSO validation + cash. ~₹857.5 cr inflow at ₹1,750 cr EV for half the 2W/3W business, royalties from a global Tier-1, access to ₹24,000 cr India 4W HV market.
  3. Overhangs clearing. Mediation settlement (~2-Nov-2026), net cash ~₹1,250 cr + DENSO cash funding accretive M&A, margins rebuilding via pass-through from Q2 FY27.

Bear case

  1. Margins and returns keep sliding. 28.3% → 22.5% statutory; band already cut; RoE 11–13%; FCF yield 0.3%; WC stretched.
  2. Order book is soft. ₹3,600 cr removed; flat four quarters; "no firm commitments"; EV share 77% → 64%; NA BEV and RE controls (10-Nov-2026) remain live.
  3. Multiple has outrun earnings. 69–73x vs 3-yr avg ~61x, listing avg 44x, peer median 52.7x; price above aggregator average target; promoter-control binary.
Base case (12–18 months). Revenue growth ~20–25% (railway base effect fades from Q2 FY27), EBITDA margin 23–24%, DENSO closes, robotics contributes little. Earnings broadly track consensus minus ~6.5%, while the multiple compresses toward ~45x FY28E → value ~₹720, roughly 10% below CMP. Total return flat-to-negative from ₹804. [Analyst View]

Five things to remember

  1. Two bases: FY26 revenue ₹4,475 cr / EBITDA 24.7% (company) vs ₹4,449.5 cr / 24.3% (statutory); PAT ₹629 cr reported, ₹670 cr adjusted.
  2. Q1 FY27 +54% is flattered by railway consolidation (one month in the Q1 FY26 base); railway = ₹973 cr / 21.7% of FY26 revenue; 31% is all non-auto.
  3. The ₹24,000 cr order book (64% EV) is lifetime value with no firm commitments; it peaked at ₹26,200 cr.
  4. Promoter Aureus 28.01%, 0% pledged; ownership above it under SC mediation; "frozen stake" is inference.
  5. 69–73x trailing, 42–44x EV/EBITDA, 14–19% above 3-yr average; FCF yield 0.33%.

Five questions before investing

  1. Does Q2 FY27 (late Oct) show EBITDA margin back above 24% on pass-throughs, and does CCC fall from 121 days?
  2. What exactly was in the ₹3,600 cr removal, and what share of the ₹15,400 cr EV book is NA BEV exposed to post-credit demand?
  3. After DENSO closes, what is attributable PAT growth net of 49% NCI on 2W/3W and an equity-accounted 4W JV?
  4. Who votes AIPL's 28% after the ~2-Nov-2026 mediation report — and does a cash settlement trigger a block sale?
  5. What is the magnet supply plan if China does not renew the suspension on 10-Nov-2026 and light-RE is curbed?
Final opinion. Sona Comstar is one of India's best-engineered auto-component franchises — net cash, global share gains, real diversification and a credible DENSO partnership. But at ₹804 the market already pays ~70x trailing for a recovery in margins and order-book growth that has not yet shown up, with a promoter-control binary weeks away. Neutral; accumulate below ~₹650 or on proof of margin recovery.
