Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026
What happened. Tempsens listed on 28 Aug 2026 at Rs 300 and opened at Rs 634, a 111% pop on a book subscribed 130.85x (NSE; 128.30x and 184.07x on other denominators, see the conflict table below). Eight weeks later the stock is at Rs 513, 71% above issue but 19% below its listing-day high, having traded between Rs 486 and Rs 635 with no sell-side coverage to anchor it. The one set of results (Q1 FY27, 16 Sep) showed revenue +33.4% but PAT only +15.6% and a company-definition EBITDA margin of 22.0% against 25.3% a year earlier. The stock fell 10.5% the day before the results, held roughly flat through them, drifted to Rs 486 on 5 Oct, jumped 12.1% on 7 Oct for a reason I could not find, peaked at a Rs 600.85 close on 13 Oct and has since given back about 15%. I am not guessing at the 7 Oct cause.
What the market is pricing. At Rs 513 the stock is on 61.4x FY26 basic EPS of Rs 8.35 [Est.], against 35.9x at the issue price and about 30x at the December 2025 pre-IPO secondary (WhiteOak bought 2.5% at Rs 247.94). Market cap to revenue has gone from 5.4x at issue to 9.7x. FY26 PAT grew 13.6% and Q1 FY27 PAT 15.6%. So the price is not discounting trailing earnings; it is discounting the OEM and new-product ramp (fuel-cell sensors, medium-voltage heaters, the Victura exhaust-heater JV, EDGE pyrometers) and the four-plant expansion that management sizes at about Rs 500 cr of peak revenue potential against a FY26 base of Rs 445 cr. Management itself calls that figure "neither forecast nor guidance". It should not be modelled as a number the company has promised [Analyst View].
What tempers the enthusiasm: earnings quality. Four things. (1) The FY26 headline EBITDA margin of 24.8% includes Rs 109.8 mn of other income (up 178%, of which Rs 34.8 mn FX gain and Rs 11.6 mn fair-value gain) and Rs 23.1 mn of JV profit share. Strip those and the operating margin on revenue is about 22.5% [Est.], down 1.4 points on FY25's 23.9%. (2) Cash conversion is the weakest part of the financials: operating cash flow was 59% of PAT in FY26 and 76% cumulatively over FY23-FY26, the cash conversion cycle has stretched from 152 days (FY24) to 210 days (FY26) and the benchmark peers in the company's own Frost & Sullivan table run 52 to 120 days. (3) The parent is not driving the growth: standalone Q1 FY27 PAT rose only 2.9% (Rs 129.30 mn against Rs 125.71 mn) while consolidated PAT rose 15.6%; the difference sits in subsidiaries, JVs and minorities. (4) Growth is partly bought: FY25 includes the Marathon Heater merger (a promoter-controlled company) for the full year and FY26 adds the German, Polish and Tempsens Measurement acquisitions. Organic growth is not disclosed. Q1 FY27 exports of Rs 398 mn (+78%) include Germany and Poland.
Industry claims are sponsored. Every market size, market share and "only Indian manufacturer" claim (non-contact sensors, fibre-optic sensors, thermal profiling) comes from a Frost & Sullivan report dated 6 Aug 2026 that the company commissioned and paid for. The 10.5% India sensor share divides group sensing revenue of Rs 1,966.64 mn, which includes exports and overseas subsidiaries, by an India-only pool of Rs 18.8 bn. About 28.5% of group revenue is exported, so an India-only share is plausibly 7-8% [Est.]. The quoted 21.3% share of India non-contact sensors is also F&S. The prospectus itself says there is no listed like-for-like peer, which is why there is no peer multiple to anchor valuation.
Related parties and structure. Two pre-IPO transactions enlarged the promoters' position inside the listed perimeter. The Marathon Heater merger (appointed date 1 Apr 2024) issued shares to the promoters and created Rs 1,061.28 mn of goodwill and Rs 453.67 mn of intangibles, which is why reported RoE is 13.5% against 20.7% adjusted. Separately, on 19 Dec 2025 the company paid EUR 763,500 (about Rs 8 cr at my assumed Rs 105/EUR) to Managing Director Vinay Rathi and Basant Rathi for 50% of Tempsens GmbH, exactly 50% of a EUR 1,527k business value from a Flick Gocke Schaumburg report dated 26 Nov 2025. Control comes through a voting-rights agreement, not equity, and the audit committee, board and shareholder approval and abstention details are Not Available in the Prospectus. The seller sits on the buyer's board, so the valuation supports the price but is not an arm's-length negotiation. A month before listing the Chairman moved 7.66 mn shares into a new Rathi Family Trust (9.50%) whose trustees and lock-in treatment are not disclosed. And 85% of the IPO was sold by family holders whose cost was Rs 0.04-0.06 a share.
Supply calendar. The remaining 50% of the anchor book unlocks on 22 Nov 2026. Around 25 Feb 2027 the six-month lock-in ends on the rest of the pre-IPO holders. My recompute from the post-IPO table is that about 54% of the equity then becomes eligible to trade: promoters' holding above the 20% minimum contribution (44.38% less 20.00% = about 24.4%) plus the other pre-IPO holders (Rathi Trust 9.14%, Puneet 6.05%, Chandra Prakash 3.65%, Ankit 3.65%, Amit 2.43%, Nirmal Pande 2.43%, WhiteOak 2.41% = about 29.8%) [Est.]. Cross-check on share counts: 80,666,025 pre-IPO shares less 18,500,000 sold in the OFS = 62,166,025 retained; less the promoters' 16,766,540 locked for 18 months = 45,399,485 shares = 54.2% of 83,832,691 [Est.]. One input file said "about 34%"; that does not recompute from the Prospectus table (it coincides with today's non-promoter holding of 34.33%, so it is probably the wrong base [Est.]) and I use 54% throughout, subject to the final lock-in schedule. Eligible to trade is not the same as likely to be sold: promoters and promoter group hold 65.67%, and the three promoters sold nothing in the IPO (promoter-group family holders sold 9.9 mn shares). The promoters' 20% is locked to 26 Feb 2028.
What would change the view. (1) Q2 FY27 results in November: the guide is margins "broadly similar to last year" (24.8% company definition) with recovery from H2, which arithmetically needs roughly 25-26% in the remaining three quarters if Q1 stays at 22.0% [Est.]. (2) The first rupee order-book figure, or any Letter of Award value. (3) Evidence that the Rs 550 mn debt repayment lowers finance cost from Q2. (4) Working-capital days turning down. (5) Disclosure of the GmbH approvals and the Rathi Trust. (6) Sell-side initiation by ICICI Securities or JM Financial and the Dec-quarter shareholding pattern showing who holds the 11.6% DII stake. (7) ICRA surveillance by about 27 Nov.
Where I land. This is a real, qualification-driven niche with a good rating, low leverage and clean regulatory record, and it is priced for several years of execution that the first quarter does not yet show. Valuation is the primary reason not to commit capital now: 61.4x trailing earnings against 35.9x at issue, on 14-16% profit growth, with no listed peer or sell-side view to anchor the multiple. Weak cash conversion, the 22% margin print, a standalone profit growing only +2.9% and a dense November to February supply calendar (anchor unlock 22 Nov, about 54% of equity eligible from about 25 Feb 2027 [Est.]) are secondary reasons that add to the caution; they do not on their own break the business case. Business quality is not what stops me from taking a positive view. The verdict in Tab 13 is a watching brief with explicit triggers.

| Capacity utilisation | Management on the 17 Sep call: plants run "at 80% max", existing capacity "about 80%" | Prospectus (R V Parikh certificate, 1 shift, 6 days, 51 weeks): FY26 Unit I 58.14%, Unit V 42.33%, Unit VI 41.35%, Unit VII 55.30%; Pyrosens 51.52%; Accurate Opto 54.90%; Tempsens Gulf 95.12% | Not reconcilable from disclosure. What the company does
Thermal-engineering and specialised-cable maker. Three verticals, all make-to-order or bespoke, share one backward-integrated Udaipur base: it melts its own alloys (vacuum induction), hot-rolls, anneals, draws wire, compacts mineral-insulated (MI) cable, machines thermowells, makes heating-element alloys and tubular elements, fabricates vessels, integrates panels and calibrates. Previously imported thermocouple and heating conductors are now made in-house at Units II and V. Management frames the thermal loop as "measure, heat, connect". Founded 14 Sep 1990; 2005 thermocouple manufacturing; 2013 MI cable; 2016 nickel-alloy conductors (PPT p.6).

- Management says the OEM business is "insignificant" today but expects OEM plus new products above 25% of revenue from FY28 (TR).
- Order cycle: heavy-industry order book about 4-4.5 months; OEM visibility 9-12 months; PO-to-PO with OEMs, except one 5-year life-science furnace framework that is excluded from the reported order book until firm orders arrive (TR; PPT p.29). Rupee order book: Not Available.
- Replacement economics: sensor life ranges from "a few hours" (molten-aluminium dips) to 20 years (nuclear) (TR). F&S (company-commissioned): contact sensors replaced every 12-24 months in regulated industries; India sensor replacement market 35-40% of value, growing 8.9% (RHP p.186). MRO orders often come first, then project qualification; the first approval takes 3-5 years (TR).

The F&S report dated 6 Aug 2026 is the source for every share and "only Indian" claim below (RHP p.256, risk factor 65). An earlier version dated 28 Sep 2025 exists (FS25). None is independently verified.- Largest manufacturer of contact plus non-contact temperature sensors in India by revenue, about 10.5% share of the Rs 18.8 bn FY26 market (RHP p.257, p.181-184). [Est.] Cross-check: 10.5% x Rs 18.8 bn = Rs 1.97 bn, equal to reported sensing revenue of Rs 1.967 bn, so the share is computed on the company's own consolidated sensing revenue (including exports and overseas subsidiaries) over an India-only pool. India-only share roughly 7-8% [Est.].
- "Only Indian maker" of non-contact sensors (pyrometers, online thermal imagers), 21.3% of the non-contact segment (F&S); "only Indian maker" of fibre-optic temperature sensors and thermal profiling systems (F&S).
- One of the largest electrical-heater makers in India by installed capacity (316,000 units a year at 31 Mar 2026), one of few with low-voltage process-heater capability; medium-voltage heater under R&D (RHP p.248, p.253 PDF).
- Among very few firms globally with backward-integrated thermocouple, cable and heater manufacturing; one of very few Indian holders of the ASME U-Stamp for pressure vessels (RHP p.262).

Utilisation conflict [Est.]
Units I, V, VI and VII ran at 41-58% in FY26, far below the "about 80%" quoted by management on the call ("we run plants at 80% max... existing capacity about 80%"). The Prospectus notes production varies with order complexity. The two cannot be reconciled from disclosure. Spare physical capacity in sensors and heaters is large; the real bottleneck is order flow and approvals. Management's peak-revenue figures below therefore overstate what the machinery limits. The capacity table text is garbled in PDF extraction; values were read from the rendered page image (RHP printed p.290-292).Overseas JV revenue not in the table: PT Tempsens Asia Jaya net revenue Rs 427.18 mn FY26 (432.25 FY25; 388.87 FY24) is equity-accounted and therefore NOT in consolidated revenue (RHP p.270 footnote). Subsidiary FY26: Pyrosens revenue Rs 276.29 mn, PAT Rs 56.01 mn; Tempsens GmbH revenue Rs 76.20 mn (period not clearly stated; [Est.] full-year entity figure), PAT Rs 8.11 mn; Tempsens Gulf PAT Rs 12.44 mn (FY25 -6.50; FY24 -3.57); Tempsens Polska loss Rs 2.32 mn post-acquisition (RHP p.322-324, risk factor 48).

Land bought in Q1 FY27 for about Rs 25 cr from internal accruals for cable expansion (the financials file records the same land as about Rs 250 mn). Management: plants run about 80% max, so full utilisation of the Rs 500 cr by "FY29 end / FY30".
- [Est.] Rs 500 cr of incremental potential on an existing Rs 445 cr base implies more than 2x asset turn relative to present 41-58% utilisation; treat as aspiration. Management also said the Rs 500 cr is additive to the Rs 445 cr base.

Sources: FY shares RHP p.258; FY26 growth RHP MD&A (printed p.490); Q1 PPT p.21. Revenue from operations Q1 FY27 Rs 1,187.07 mn includes other operating revenue, so the three verticals sum to slightly less. FY25 vertical revenue is not printed separately; derived from FY26 values and the printed growth rates: sensing about Rs 1,744.6 mn, heating about Rs 630.3 mn, cables about Rs 1,378.7 mn, total about Rs 3,753.6 mn, which reproduces the printed FY25 shares of 46.48 / 16.79 / 36.73% [Est.].
Where FY26 growth came from [Est.]
| Vertical | FY25 (derived) Rs mn | FY26 Rs mn | Increment Rs mn | Share of increment |
|---|---|---|---|---|
| Temperature sensing | 1,744.6 | 1,966.6 | 222.0 | 33.8% |

| Total | 3,753.6 | 4,411.0 | 657.4 | 100% |
Heating, the smallest vertical until FY25, supplied 43% of FY26 vertical growth, and the heating base in FY25 already contained Marathon for the full year, so the +44.89% is organic relative to the merger. In Q1 FY27 sensing contributed about Rs 178 mn of the roughly Rs 295 mn increase, heating about Rs 149 mn, and cables took Rs 32 mn off [Est.].

The FY26 headline EBITDA margin of 24.83% is flattered by Rs 109.77 mn of other income (up 178% from Rs 39.42 mn: interest income Rs 47.98 mn, FX gain Rs 34.83 mn, fair-value gain Rs 11.59 mn; Prospectus p.497). Ex other income and JV share the operating margin is about 22.5%, which is about 1.4 points below FY25 (23.9%) [Est.]. Screener OPM (which excludes other income): 19% / 22% / 18% / 20% / 24% / 23% for FY21-FY26. Management attributes inventory to "customisation requirements, delays in dispatch clearance" and expansion stocking (Prospectus p.153).

- Non-cash or low-quality elements of FY26 PAT: JV share Rs 23.11 mn (dividends received Rs 26.52 mn), other income Rs 109.77 mn (15% of PBT), FX gain Rs 34.83 mn, fair-value gain Rs 11.59 mn, ESOP charge Rs 12.88 mn.
Divergence flag
Reported profit does not convert to operating cash: FY26 CFO 59% of PAT and 37% of company EBITDA; cumulative 76%. Growth is being financed by inventory, receivables and short-term borrowing. This is the single biggest financial weakness.Working-capital days

- Promoter-family borrowings: Vinay Rathi borrowed-in Rs 164.02 mn in FY24 and repaid Rs 132.26 mn (FY24), Rs 22.35 mn (FY25) and Rs 27.69 mn (FY26); balance at Mar-26 nil for all family lenders (Mar-25: Vinay 27.69, Sonal 16.20, Tanya 5.20, Aryan nil). Interest paid to family FY26 about Rs 0.37 mn (FY25 about Rs 5.1 mn) (p.86-87).
- Guarantees: Vinay Rathi and Ankit Talesara personal guarantees for company loans (no guarantee fee disclosed); Sonal Rathi guarantees Pyrosens loans (p.87, p.48).
- Marathon Heater merger (promoter-controlled): appointed date 1 Apr 2024, NCLT Ahmedabad order 6 Feb 2025, effective 6 Mar 2025; exchange ratio 3,667 shares of Rs 100 per 10,000 Marathon shares (registered valuer Nikhil Jain, 25 Mar 2024); 108,389 shares issued to Vinay (59,119) and VPR (49,270), so the promoters' combined stake rose; created Rs 1,061.28 mn goodwill, Rs 453.67 mn intangibles and Rs 1,647.34 mn securities premium (p.322-323, p.28-34). Fairness of the ratio to the Talesara and Pande minority co-owners: no fairness opinion disclosed (Not Available).
Related-party acquisition: 50% of Tempsens GmbH bought from the MD [Fact] PROS p.323-325, p.350, p.46
- Transaction. Share purchase agreement 23 Sep 2025 (addendum 8 Dec 2025): the company buys 12,500 of 25,000 shares (50.00%; the SPA contemplated 50.01%) of Tempsens Instruments GmbH, Hennef, Germany, from Vinay Rathi (Promoter and MD; Seller 1) and Basant Rathi (Seller 2) for an aggregate EUR 763,500. Filing 17 Dec 2025; consideration paid 19 Dec 2025 "to our Promoter, Vinay Rathi". EUR 153 for the last 0.01% was unpaid at 24 Aug 2026.
- Price basis. Flick Gocke Schaumburg (Bonn) business-value report dated 26 Nov 2025: business value EUR 1,527 thousand at 30 Sep 2025. EUR 763,500 is exactly 50% of that value [Est.] (1,527 x 0.5 = 763.5). It is a "business value" (enterprise-type) figure; GmbH net debt or cash: Not Available.
- After the deal. Company 50.00%, Basant Rathi 25%, Tematec GmbH 25%. The MD appears to have exited his whole stake in GmbH [Est.]. Control from 16 Jan 2026 through a voting-rights, agency and governance agreement with Basant Rathi, Tematec and GmbH; the company consolidates GmbH and its 70% Polish subsidiary with only 50.00% equity.
- History. GmbH was a customer and supplier (FY26 sales Rs 48.19 mn = 1.08% of revenue; purchases Rs 3.89 mn; receivable Rs 4.42 mn) and a top-10 customer until acquisition. Post-acquisition FY26: revenue Rs 76.20 mn, PAT Rs 8.11 mn (about 2.5 months), net worth Rs 138.47 mn, goodwill Rs 8.81 mn (p.84, p.132, p.329, p.33).
- Approvals. Vinay Rathi is disclosed as an interested party (also in "Interest of Directors"). Audit Committee, board and shareholder approval and abstention details: Not Available (PROS p.345, p.350-351, p.323-325 searched). The deal pre-dated listing, so the SEBI LODR related-party approval regime did not yet apply. An independent valuation supports the price, but it is unlikely to be an arm's-length negotiation since the seller sits on the buyer's board.
- Interpretation [Est.]. Bringing a promoter-owned European sales channel into the listed perimeter before the IPO is commercially logical (Q1 FY27 export growth +78% is attributed to Germany and Poland) and the price was valuation-backed, but it moved about EUR 0.76 mn (about Rs 8 cr at an assumed Rs 105/EUR; the rate is our assumption) to the MD and lifted reported exports and revenue inside the IPO window, flattering the growth narrative. GmbH adds only about Rs 76 mn of revenue in 2.5 months.

- Domestic sourcing from suppliers in 18 states and 2 union territories (Rajasthan, Gujarat, Maharashtra, UP, Delhi, Tamil Nadu, Karnataka); foreign suppliers from 18 countries in the last three years. China is still the largest import origin even after its share fell from 9.52% to 6.69%.
- Supplier concentration. Top supplier India Trade Link Private Limited: Rs 541.51 mn, 20.77% of purchases (FY25 25.51%; FY24 22.91%); top-5 33.02%; top-10 40.33% (FY25 41.67%; FY24 47.62%). What India Trade Link supplies (likely nickel / copper / metals trading) is Not Available; the RHP names it only in risk factor 4 (full text searched). No long-term supply agreements; spot purchase orders only.
- Pass-through. The RHP says raw-material POs are placed on receipt of confirmed customer proposals, so margin risk is limited on large orders; small and urgent orders carry price risk. CFO: "we book the raw materials at the time of receiving orders... pass through fluctuations to the customer"; inventory Rs 110-120 cr, 65-70% raw material (TR). Both statements hold; the difference is order size. The cost of this model is working capital: inventory days 147 standalone / 170 consolidated in FY26, net working capital days 210 (193 FY25; 152 FY24) [Est.].
- Vertical integration (what is not bought). Alloy melting (vacuum induction), hot rolling, annealing, wire drawing, MI-cable compaction, thermowell machining, heating-element alloys, tubular elements, vessel fabrication, panel integration and calibration. Previously imported thermocouple and heating conductors are now made in-house at Units II and V (RHP p.262, p.270). Precious metals (platinum and rhodium) were 4.29% of purchases in FY25 and 7.33% in FY26.
- Logistics and energy. No own fleet; spot third-party air, road and rail; no related-party logistics (RHP p.296). Inventory on ERP; higher stock held for imported items. 1.5 MW rooftop solar at the Udaipur units for captive use (p.300).
- Labour. 814 permanent employees (incl. JVs) plus 1,189 contract workers at 31 Mar 2026 (1,012 in FY25; 872 in FY24); employee cost Rs 638.33 mn FY26, which is 14.35% of revenue (the business file labels it "of expenses"; recompute from the P&L gives revenue as the base) (p.301-302). Contract Labour Act absorption risk.
- Commodity exposure. Copper, nickel and precious metals are 33.4% of purchases (26.05% + 7.33%) [Est.]. ICRA site (12-16 Oct 2026): WPI inflation 11.4% in Sep 2026, "elevated global commodity prices".

- Customers: 2,600+ (Apr 2024) to 3,800+ (Mar 2026); top-20 average tenure 10 years (range 1-23), top-30 8 years; no customer named. End-use mix is in Tab 3; no end market above 22% (management).
- End-products containing Tempsens output: blast furnaces, reactors, pressurisers, fuel cells, space hardware, thermal and nuclear power plants, glass furnaces, CVD equipment, lab furnaces for life science, commercial-vehicle exhaust-gas heaters, battery manufacturing (Korean JV), oil and gas heaters and heat-trace.
- Design-win stickiness: sensors are under 1% of plant cost but critical; qualified OEM vendors are built into specs and machines; first approval 3-5 years; but OEM contracting is PO-to-PO with milestone POs, and only the life-science furnace deal is a 5-year contract (TR). ICRA calls entry barriers "low" for consumable heating and in export markets.
- Contract tenors and order cycle: heavy industry order book about 4-4.5 months; OEM visibility 9-12 months. Government, defence and space contracts carry termination and penalty clauses (RHP risk factor 14). Receivables Rs 857.38 mn (+33% YoY); ECL allowance only Rs 2.31 mn.
- Pricing power evidence: gross material margin 46-47% (management), company EBITDA margin 21.98% / 25.45% / 24.83% FY24-26, 22.0% in Q1 FY27. Where pricing power sits [Analyst View]: with the customer in standard heaters and cables (low entry barriers, many regional makers, import-parity in sensors); with Tempsens in qualified lines (ATEX / IECEx / ASME U-Stamp / nuclear approvals, MI cable, alloys) and in niche non-contact sensors. Raw-material suppliers hold spot-market pricing power, which Tempsens manages by pass-through at order booking.
Competitive Position
Treat all market data as company-sponsored
The industry section of the RHP is a Frost & Sullivan (F&S) report dated 6 Aug 2026 that the company commissioned and paid for (RHP p.256, risk factor 65). Market sizes, shares and "only Indian manufacturer" claims are not independent. The 10.5% India sensor share has group sensing revenue (including exports and overseas subsidiaries) as numerator and an India-only pool as denominator; an India-only estimate is roughly 7-8% [Est.]. An earlier F&S version (28 Sep 2025, FS25) was used only to confirm competitor lists.Industry size and growth (F&S) [Fact as stated]

[Est.] Tempsens FY26 revenue of Rs 4,449 mn is roughly USD 50 mn at an assumed Rs 85-90/USD, about 0.1% of the global pool; the thesis is niche (make-to-order, qualified), not share of total.
| India segment (FY26 to FY31E) | FY26 size | FY31E | CAGR | Mix and notes |

| Temperature sensors and allied | Rs 18.8 bn | Rs 28.8 bn | 8.9% | Contact 69.4% (thermocouples 42.9%, RTD 32.6%, gauges 24.5% of contact) growing 7-8%; non-contact 11.8% (Rs 2.2 bn; pyrometers 61%, fixed thermal imagers 39%) growing 11-12%; allied 18.8% (Rs 3.5 bn: thermowells / protection 6.9%, calibrators 4.5% = Rs 0.85 bn, heat-flux 4.4%, data loggers 2.8% = Rs 0.55 bn). | Electrifiable heating solutions | about Rs 1,725 cr (Rs 17.25 bn) vs about Rs 900 cr in FY21 | Cumulative FY26-31E opportunity Rs 27,392 cr: heaters 13,696 (50%), furnaces 9,587 (35%), conductors 4,109 (15%) | 13.9% CAGR FY21-26 | Heaters: electric process about 45%, tubular 18%, immersion 15%, cartridge 6%, band 6%, flexible / other 10%; furnaces: process about 52%, lab about 28%, special about 20%; conductors: nickel-based 55%, ferrous 45% |
F&S labels furnaces "FY2026E-FY2031E" but heater / total as "FY2027E-31", so the five-year cumulative is not annual and not comparable to the Rs 17.25 bn annual size. The cable market (Rs 128 bn) is dominated by LV power cable, where Tempsens's offering is marginal [Est.].
Trade flows [Fact] RHP p.186-187, 208, 248-249
- India temperature-sensor exports Rs 3.9 bn, growing 8-10% (contact 70%, non-contact 25%, protection 5%).
- India cable exports Rs 2,750 cr in FY25 (FY20 1,380; FY21 810; FY22 1,472; FY23 1,748; FY24 2,184).
- India heating imports about Rs 365 cr; top-10 global suppliers over Rs 230 cr (about 65%): Thermon, Heat Trace, Alleima (Kanthal), Zoppas, nVent Thermal, Heatwell, Hotset, IRCA. Heater exports Rs 245 cr in FY20 to Rs 335 cr in FY25 (FY24 +15.6%, FY25 +12.2%); "Thermopads" cited as a large Indian exporter.
- Import substitution already visible in sensors: global brands' India share fell from 75% (FY18) to 59% (FY26); organised Indian players rose from 15% to 31%; unorganised stable at about 10% (RHP p.187).

Leadership is real only in India contact and non-contact sensors and in the niche of MI cable and conductors; in heating it is one of about 14 mapped players; in cables it is a small niche inside a large LV market [Est.]. Indian organised sensor makers took 16 points of share in 8 years (F&S); Tempsens' 10.5% is the largest single share but over 85% of the pool is others (global brands 59%, other organised Indian players about 20%) [Est.].
Competitor map [Fact] RHP p.187-189, 201, 248; FS25 p.100-103

Strengths and weaknesses versus peers, moat [Analyst View]
| Versus | Tempsens stronger | Tempsens weaker |
|---|---|---|
| Thermo Cables (unlisted, cables) | Margin (24.8% vs 17.2%), growth, sensing and heating breadth | Scale (2.2x), RoCE (43.5%), working capital (120 vs 210 days), export mix (51.8%) |
| WIKA India, Endress+Hauser, OMEGA, Honeywell | Cost position, localisation, bundled sensor-cable-heater offer, margin vs WIKA India 10.2% | Smart-sensing and high-precision brands, global service networks, patents (WIKA 300+) |
| Radix, Pyro Electric, Precision Mass | Largest organised Indian share, backward integration, non-contact range | Competition in traditional contact sensors from organised Indian peers |
| Thermon, Chromalox, Watlow | Low-voltage heater capability, ASME U-Stamp, cost | Medium-voltage heater still pre-certification; global installed bases |
- Qualification moat: first approval 3-5 years, then adjacent products are easier (TR); top-20 customers average 10 years (RHP p.266). Counter-evidence: ICRA calls entry barriers "low" for consumable heating and export markets.
- Cost and localisation: Indian makers moving from "low-cost alternative" to full stack; global brands described as "assembly players" in India with import-led cost bases (F&S, RHP p.187).
- China: management says few Chinese rivals in engineered and critical products and some customers moving away from China (TR); Tempsens itself imports 6.7% of purchases from China, its largest import origin.
- Partnerships reduce capex but hand value away: Micro-Epsilon 49.99% of Pyrosens; 50% JV partners in Indonesia, Korea and Victura.
Policy and regulatory drivers [Fact] RHP industry section (printed p.201-250), Key Regulations (p.306-312); TR
| Tailwind / headwind | Detail |
|---|---|
| Indigenisation / Make in India | Sensor, furnace-camera and heater import substitution with PSUs in steel, power, defence (RHP p.190, 249) |
| Carbon markets | PAT scheme moving to the Carbon Credit Trading Scheme; GEI targets notified Jan 2026 for 490 obligated entities in 7 sectors; non-compliance means environmental compensation of 2x the average traded certificate price. Direct incentive to electrify process heat (p.249) |
| Green steel | India's Green Steel Taxonomy (2024); 89 units, 12.34 Mt certified by Mar 2026; crude steel 168.4 Mt in FY26 (+10.7%), capacity 220 to 300 MT by 2030 (p.249) |
| Public capex | Union Budget 2026-27 capex Rs 12.2 lakh cr (p.249); thermal power investment projected to double to Rs 2.3 lakh cr by 2027 (F&S); refinery and petchem projects (IOCL, CPCL etc.) cited as electrifiable-heating demand pools |
| Indirect demand schemes | National Green Hydrogen Mission, battery and PLI schemes, defence indigenisation (DRDO / BARC-certified vendors) |
| Export schemes | RoDTEP, duty drawback, EPCG (p.312). Risk factor 63 notes export-incentive uncertainty; other operating revenue (incl. incentives and scrap) Rs 37.74 mn FY26 |
| State | Rajasthan Investment Promotion Scheme 2024 (minimum Rs 500 mn manufacturing investment for incentives) |
| Headwind: BIS and standards | BIS quality-control orders and compliance cost in cables (F&S threat list); BIS standards IS 302 (heaters), IS 7466 (furnaces), IS 60584 / 60751 (sensors) |
| Headwind: environment and labour | Pollution Control Board norms, Factories Act, Public Liability Insurance Act for hazardous substances; Contract Labour Act could force absorption of contract workers (1,189 at Mar 2026); capacity approvals depend on Rajasthan State Pollution Control Board consents (p.292 note) |
| Macro (ICRA site banner items dated 12-16 Oct 2026) | WPI inflation 11.4% in Sep 2026, CPI 5.5%, "another rate hike appears likely in December", weighted-average SGS cut-off 8.12% (highest since 2019), "elevated global commodity prices". Implication [Est.]: raw-material (nickel / copper / precious metals = 33% of purchases) inflation and a higher cost of capital for customers' capex |
| Middle East | Management: exports rose "tremendously" during the current regional "political situation", no impact on near-term quarters, positive in the medium term via electrification; MENA about 10% of revenue and petrochemical 21.45% (TR; RHP p.269) |
Industry structure and Porter's Five Forces [Analyst View]
- Fragmented and tiered: global MNCs own high-precision and smart sensing; Indian organised players (Tempsens, Radix, Pyro Electric, Precision Mass) own traditional contact sensors; unorganised about 10% in sensors; cables and heaters have long tails of regional makers with price competition (RHP p.301).
- Demand split: about 60-70% project / OEM (lumpy, capex-linked, 4-month book) and 30-40% replacement (annuity-like). Tempsens' FY26 mix of 67.55 / 32.45 mirrors the F&S estimate of 35-40% replacement for sensors.
- Barriers: certifications (ATEX, IECEx, UL, ASME U / R, PESO), customer approvals (PSUs, nuclear, refineries), backward integration; weak barriers in standard heaters and cables and for Chinese low-end entrants.
| Force | Level | Evidence |
|---|---|---|
| Buyer power | Moderate | Top-10 customers 18.59%; no customer above 3.6%; but PSU and project buyers negotiate and tender |
| Supplier power | Moderate | India Trade Link 20.77% of purchases; spot buying; commodity metals; pass-through at order booking |
| New entrants | Moderate | High in qualified lines (3-5 year approvals); low in consumable heaters and standard cable (ICRA) |
| Substitutes | Low-Moderate | Contact sensors replaced by non-contact where feasible (which Tempsens also makes); electrification of heat raises demand |
| Rivalry | Moderate-High | About 14 mapped heater players, regional cable makers, global brands in sensors |
Moat: narrow-to-moderate and product-specific [Analyst View]. For: qualification-driven stickiness, backward integration, cross-sale at 60% of revenue, top-20 tenure of 10 years, highest margin in the benchmark set. Against: sponsored share data, 210-day working capital, low barriers in parts of heating and cables, mixed Indian-only share of about 7-8% in sensors, and partners holding minority stakes in key subsidiaries.

17 Sep 2026 call (Q1 FY27): full highlights [Fact] TR
Participants: MD Vinay Rathi, CFO Priyanka Menaria, Aryan Rathi (Lead, Global Sales). Questioners: Pratik Dharmshi (Union Mutual Fund), Sahil (SR Investments), Aman (Blue Sky Fintech), Naman Parmar (Niveshaay Investment Advisory), Jenish Karia (Union AMC), Parag Agrawal (Second Theory Capital), Gaurav Jawalkar (JM Financial, an IPO BRLM), Pujan Shah (Molecule Ventures), Vedant S. (MARS Investments). Eight to nine questions; no questions from large foreign institutions. Of the nine, only one was sell-side (JM Financial); two Union entities signals domestic MF interest [Est.].
Opening framework
- "Measure, heat, connect"; about one third of product revenue from outside India in the quarter; three verticals in FY26: sensing 45%, cables 35%, heating 21%.
- Moat claims: cross-sale Rs 267 cr = 60% of revenue (management said growth "over 30%"; the Prospectus YoY is +25.6%, Rs 2,123.73 mn to Rs 2,668.14 mn; 30% is the FY24-26 CAGR); backward integration (own alloys, MI cables); qualification (blast furnaces, reactors, pressurisers, fuel cells, space).
- OEM programme: fuel-cell sensors and cable harnesses; Victura JV (heating cables for commercial-vehicle emissions); private-label lab furnace for a life-science company.
- Two thirds projects plus OEM, one third replacement; no end market above 22%; top-10 customers 19%; top-20 with the company for 10+ years; exports to 80+ countries, +46% CAGR FY24-26; 15 plants (the transcript says "five of them in India, five outside India"; the Prospectus says ten in Udaipur and five overseas, so the wording is a slip); 83 R&D engineers; UL, ATEX, ASME U-stamp.
- FY24-26: revenue CAGR 27% to Rs 445 cr, EBITDA +36% to Rs 113 cr, adjusted PAT +35% to Rs 75 cr, gross margin 46-47%.
- Caveat from the MD: EBITDA margin "would move" with the timing of large dispatches, "that particular state" (mix), and investment for the future.
- Four tailwinds: electrification of process heat, alternative energy (fuel cells, green hydrogen), China+1, continued oil, gas and steel investment; global pool $50 bn growing 7-8% to about $75 bn by 2030 (F&S, company-commissioned).
Quarter commentary (CFO, Aryan Rathi)
- Sensing +42% (thermal power, OEMs incl. CVD-equipment makers; healthy pipeline in thermal and nuclear power, steel, glass). EDGE-series pyrometers (co-developed with Micro-Epsilon) dispatch from Q3 FY27; addressable market about Rs 3,000 cr, Tempsens "less than 1%" of it.
- Heating +149% on a low base (heater plant commissioned end-Q1 FY26): large oil and gas dispatches in India, Southeast Asia and the Middle East; 5-year framework supply deal with a life-science OEM for standard furnaces; +25,000 sq ft for custom furnaces this year; medium-voltage heaters up to 15 MW for carbon capture, battery storage and green hydrogen, explosion-proof certification target Q4 FY27 (PPT: tested up to 7.2 kV; the transcript says "kilowatts", a slip).
- Cables -8.8% to Rs 32.5 cr: "timing of export order execution" (executed thermal power, oil and gas Africa, chemicals India); foray into UL-certified high-temperature cable harnesses; Unit 8 greenfield construction started; Middle East oil-and-gas approvals pending.
- Costs: gross material margin 47.4% (Q1 FY26's 49.3% was a high base); employee cost +45% (headcount for growth; newly acquired units add cost on a low revenue base).
- Capital: Rs 95 cr fresh issue, Rs 55 cr used to repay borrowings (against Rs 78 cr at Mar-26); land bought for about Rs 25 cr from internal accruals.
Analyst Q&A takeaways
| # | Theme (questioner) | What management said |
|---|---|---|
| 1 | New products / TAM (Union MF) | Micro-Epsilon products about Rs 3,000 cr market, under 1% share; medium-voltage heaters "handful of players", long runway from FY28; fuel cell / automotive via existing product lines; OEM plus new products to exceed 25% of revenue from FY28; margins "broadly similar" across new segments; partnership model case by case |
| 2 | Fuel cells (SR Investments, Molecule) | "Advanced stages of field trials", now "executing at scale"; run-rate and volume not quantifiable ("work in progress"). Asked whether a Rs 250-300 cr fuel-cell order book is plausible in 1-2 years (the figure is the analyst's, not the company's): "we wish it will happen... cannot comment"; cross-sell cables for 500-800C zones |
| 3 | Competition and moat (Blue Sky) | Products are under 1% of plant cost but critical; 75-90% of revenue from critical applications, 10-20% from commoditised ones; first approval 3-5 years |
| 4 | New-age industries (Niveshaay) | No TAM number; process industries growing 8-10%; new-age "double-digit... maybe high 20s or 30s" share growth in 2-3 years; Korean JV already supplies battery manufacturing; replacement frequency from hours to 20 years; replacement 30% of revenue; the Rs 500 cr capacity is additive to the Rs 445 cr base; no segment margin disclosure, but sensors and heaters margin "slightly more than cables"; inventory Rs 110-120 cr, 65-70% raw material, raw-material cost passed through at order booking |
| 5 | Middle East (Union AMC) | MENA about 10% exposure; exports "increased tremendously" during the political situation; no near-term negative impact, positive medium term via electrification; order book 4-4.5 months for heavy industry, 9-12 months for OEMs (Victura etc.); numeric order book "will disclose as we execute" |
| 6 | Margin bridge (Union AMC) | 200 bp from the gross margin high base, about 100 bp from employee cost; margin recovery visible "in next half year" (H2 FY27), not only FY28 |
| 7 | FY27 growth (JM Financial) | "Growth in line with historical numbers; blended three-year growth is a good number to look at... around [the analyst's] 25%"; visibility better in H2 |
| 8 | Exports (JM Financial) | Mexico, Poland, South Korea new; Middle East quoted pipeline "increased dramatically" but "firm orders still have some runway" |
| 9 | Capacity timing (MARS) | Projects online from Q1 FY28, construction mostly done by Q3 FY28; full utilisation "broadly" by FY29 end / FY30; plants run about 80% max; existing capacity about 80% (conflicts with the Prospectus unit-wise 41-58% in FY26) |
| 10 | OEM contracting (Second Theory) | Qualified OEM vendors are sticky (built into specs and machines) but PO-to-PO with milestone POs; only the furnace deal is a 5-year contract |
| 11 | China (Molecule) | Few Chinese rivals in engineered products; some customers moving away from China |
[Est.] The buy-side themes (fuel-cell run-rate, new products, moat, order book, Middle East, margin bridge, FY27 growth, capacity utilisation) are the things the market is paying for and the things management would not quantify.
Guidance versus actuals [Est.]
Because this is the first call and first listed quarter, there is no prior-quarter guidance to grade. The table compares IPO-era statements and the first guide with what is observable.
| Item | Stated | Actual / latest | Verdict |
|---|---|---|---|
| FY27 revenue growth | "In line with blended last-3-year growth" (CFO); analyst's about 25% not contradicted. Blended 3-year consolidated sales CAGR on Screener 23%; Prospectus FY24-26 CAGR 27.2% | Q1 FY27 +33.4% (with acquisitions) | Ahead of the guide in Q1, but includes acquired revenue. Run-rate needed for 23-25%: FY27 revenue Rs 5,472-5,561 mn, implying Rs 4,285-4,374 mn over Q2-Q4 (average about Rs 1,430-1,460 mn vs Q1 Rs 1,187 mn and Q4 FY26 Rs 1,333 mn) |
| FY27 margin | "Broadly similar to last year" (FY26 EBITDA 24.83% of total income); recovery in H2 | Q1 FY27 22.00% (-327 bp YoY; -283 bp vs FY26) | Behind; the guide requires about 25-26% in the remaining three quarters to average about 24.8%; management itself calls the quarter "investment" |
| Profit growth | "In line with revenue growth by end of this year" (Aryan Rathi) | Q1 PAT +15.6% vs revenue +33.4% | Behind in Q1; needs H2 catch-up |
| Finance cost | Down from next quarter after the Rs 55 cr repayment | Q1 finance cost Rs 13.6 mn (+10% YoY) | Not yet testable; watch Q2 |
| Debt repayment | RHP: Rs 550 mn from the fresh issue | Rs 550 mn repaid by 17 Sep (TR, PPT p.20) | Met, quickly |
| Capex | RHP Rs 181.34 mn (Rs 54.4 mn FY27, Rs 126.9 mn FY28); land Rs 25 cr from accruals; 4 plants Q4 FY27 to Q3 FY28 | Execution stage; no commissioning yet | On track per management; RHP Rs 181 mn is small relative to Rs 500 cr peak revenue potential, so most capex is funded from accruals or debt |
| Capacity peak revenue Rs 500 cr | Aspirational, "neither forecast nor guidance" (PPT) | n/a | Do not model as guidance |
| EDGE pyrometer dispatches Q3 FY27; MV heater explosion-proof certification Q4 FY27; Victura plant production Q4 FY27 | Dated milestones | Not yet due | Scorecard items for the Q3 / Q4 calls |
| Cables | Q1 decline = timing | Q1 -8.8% | To be verified in Q2 (ICRA and RHP show FY26 +11.06%) |
RHP-era benchmarks: FY26 revenue +17.53%, EBITDA margin 24.83%, PAT Rs 710.67 mn. ICRA in Nov 2025 expected FY26 revenue to "further increase on expected growth in existing segments" and sustained operating metrics; outcome FY26 +17.5%, EBITDA margin 24.83% vs ICRA's FY25 24.1% (ICRA; RHP p.263).
Management tone, credibility and contradictions [Analyst View]
| Observation | Detail |
|---|---|
| Transparent on | Margin bridge numbers, segment growth drivers, timing of the cable decline, dated milestones, RHP-consistent KPIs |
| Cautious on | Fuel-cell scale, order book, segment margins, TAM for new-age industries, a numeric FY27 guide (only "blended 3-year growth") |
| Flagged slips | "Cross-sale growth over 30%" vs +25.6% YoY (30% is the two-year CAGR); "five plants in India" (Prospectus: ten in Udaipur); "7.2 kilowatts" (PPT: kV); "80% utilisation" vs Prospectus 41-58%; export share "about 80%" in closing remarks refers to +78% growth; F&S export share 37.4% vs Prospectus 28.52% |
| Structural items that matter for narrative quality | Ankit Talesara (non-executive director) is also an OFS seller (3,787,720 shares); Germany and Poland bought from the MD; first-call questions came largely from Union MF / Union AMC and small funds; one analyst from an IPO BRLM (JM Financial) |
| Pass-through | CFO: "we pass through fluctuations to the customer" vs RHP risk factor 3: small and urgent orders carry price risk. Both hold; the difference is order size |
| Tone | Confident on growth and new products, defensive-to-cautious on quantification; opening caveat that margin "would move" with mix and investment |
| Recurring themes | Qualification moat, electrification, OEM ramp, investment ahead of revenue, H2 recovery |
Growth, Outlook & Valuation
Industry size and share statements quoted here are from the Frost & Sullivan report that the company commissioned and paid for; the 10.5% India sensor share is group sensing revenue over an India-only pool (India-only roughly 7-8% [Est.]). Street data come from Moneycontrol (21 Oct 2026, 16:05 IST), Chittorgarh, IPOWatch, Screener and the NSE archives.
Order book and revenue visibility
| Item | Finding |
|---|---|
| Rupee order book | Not Available: searched the RHP full text, deck, transcript and NSE announcements; management declined to quantify ("solid order book, in the execution phase... will disclose as we execute"). The company Reg-30 "Letter of Award" links are empty "#" placeholders; the BSE API returned HTTP 403 |
| Qualitative visibility [Fact] | Heavy-industry order book about 4-4.5 months; OEM visibility 9-12 months; the 5-year lab-furnace framework is excluded from the reported order book until firm POs; the deck (p.29) refers to a "reported order book" but prints no figure |
| Proxy: customer advances [Fact] | Contract liabilities rose to Rs 119.94 mn at 31 Mar 2026 from Rs 70.42 mn (+70%); the RHP calls this "a growing order book" (RHP p.490) |
| Agent arithmetic [Est.] | About 4-4.5 months of order book on a quarterly run-rate of about Rs 1,430 mn implies roughly Rs 1,900-2,200 mn (about Rs 190-220 cr) of executable heavy-industry orders, plus OEM orders. This is our arithmetic, not a company disclosure |
| Book-to-bill | Not Available (not disclosed) |
| Repeat versus new | Cross-sale customers 59.97% of FY26 revenue; MRO / replacement 32.45%; top-20 customers average tenure 10 years; order-win values and customers: Not Available |
Management guidance numbers [Fact] and expansion plans

Media and sentiment
- Mainstream media (all Moneycontrol, none critical): "111% listing gains: Tempsens Instruments more than doubles on market debut; should you buy, sell or hold?" (28 Aug); "Which IPOs posted the best listing gains in 2026? Tempsens leads at 110%" (28 Aug); "Stocks to Watch Today, 17 September" (Q1 consolidated revenue +33.4% to Rs 118.7 cr, profit +14.2% to Rs 15.2 cr, owners' share). No negative press, litigation news or short-seller report found. Business Standard, Economic Times, Mint and Business Today coverage: Not Available (search engines unavailable). The company's own Media page is placeholder text.
- Retail forum (Moneycontrol message board, 21 Oct, anonymous): "below 500 by next week..." and "I told everyone that it was fake breakout look at price today. Operators playing with innocent investors." Two posts only; "Community Sentiments: Data not Available". Treat as noise reflecting holders after the 7-13 Oct spike [Est.]. - Company communication: first concall 12:00 IST on 17 Sep 2026 (ICICI Securities-hosted); presentation and transcript filed 22 Sep.
- Sentiment synthesis [Est.]: (1) IPO demand was extreme and led by NII and QIB (226-230x) while retail was normal for a hot IPO (33x); (2) after the +96% first-day pop the stock has traded sideways to lower in a Rs 486-635 band with no sell-side anchor; (3) results day (+15.6% PAT growth, margin down about 330 bp) produced no sustained re-rating; (4) the 7-13 Oct spike (no exchange announcement per the narrative file) reversed about 13-15% within seven sessions, with typical post-IPO "operator / breakout" chatter; (5) institutional interest is visible (anchors, Union MF / AMC, Second Theory) but small (DII 11.6%, FII 2.7%).
Final Verdict
Bull case
- A real qualification moat in a growing niche. First approval takes 3-5 years; cross-sale customers are 59.97% of revenue; top-20 customers average 10 years; backward integration from alloys to cable to sensors to heaters; ATEX, IECEx, UL and ASME U-Stamp approvals. Revenue grew at a 27.2% FY24-26 CAGR with the highest EBITDA and PAT margins in the company's own benchmark set, the balance sheet is [ICRA]A (Stable) with debt / equity 0.15, and Rs 550 mn of debt is already repaid. (Market share data are Frost & Sullivan, commissioned and paid for by the company; India-only sensor share about 7-8% [Est.], not 10.5%.)
- Dated catalysts and operating momentum. Sensing +42% and heating +149% in Q1 FY27; EDGE pyrometers dispatch in Q3 FY27, medium-voltage heater certification and the Victura plant in Q4 FY27, four plants by Q3 FY28 with about Rs 500 cr of peak revenue potential (not guidance); electrification, carbon-market and green-steel policy tailwinds.
- Earnings leverage if management delivers. Employee cost +45% is investment ahead of revenue; if H2 margin recovery arrives and PAT growth converges to revenue growth, the multiple compresses by growth rather than by price. Anchor book of Rs 194.55 cr from SBI, HDFC, Nippon, Kotak, Goldman, Temasek affiliate and Ashoka WhiteOak shows credible institutional interest.
Bear case
- Valuation leaves no room. 61.4x FY26 EPS (59.8x TTM) against 35.9x at issue, on PAT growth of 13.6% in FY26 and 15.6% in Q1 FY27, 38x EV / company EBITDA and 9.7x sales, with no sell-side coverage and no listed peer to anchor a multiple.
- Earnings quality and cash. CFO 59% of PAT in FY26 and 76% cumulative; cash conversion cycle 152 to 210 days; headline margin 24.8% falls to about 22.5% ex other income and JV share [Est.]; Q1 FY27 margin 22.0% vs 25.3%; standalone PAT +2.9%; growth is partly acquired; utilisation of 41-58% in key units contradicts the "80%" claimed.
- Governance and supply. A related-party GmbH purchase from the MD, a promoter-controlled merger that created Rs 1.5 bn of goodwill, 85% of the IPO sold by family holders at near-zero cost, an unexplained Rathi Family Trust, missing 1990 and 2004 filings, an audit-trail gap, and about 54% of equity eligible to trade from about 25 Feb 2027 [Est.] after the 22 Nov 2026 anchor unlock.
Base case (12-18 months) [Analyst View] scenario ranges, not forecasts
| Scenario | FY27 revenue Rs mn | FY27 PAT Rs mn | EPS Rs | Multiple | Implied Rs per share |
|---|---|---|---|---|---|
| Downside: margins stay near 22%, working capital worsens, unlocks weigh | 5,300-5,450 | 780-800 | 9.3-9.5 | 30x | about 280-285 |
| Base: revenue +23-25%, margin recovers to the low 24s in H2, finance cost falls | 5,470-5,560 | 840-900 | 10.0-10.8 | 40-50x | about 400-540 |
| Upside: OEM ramp and H2 margin recovery visible, sell-side initiates | 5,600-5,800 | 920-980 | 11.0-11.7 | 55-60x on a rolled-forward EPS of about 12.5 | about 690-750 |
Most likely: FY27 revenue near Rs 5,500 mn (+23-25%), PAT Rs 840-900 mn, EPS about Rs 10-10.8 (mechanics as in Tab 12: management's "blended three-year growth" with margins "broadly similar"). The Q2 print is the first test: it needs company-definition margin of about 25-26% in the remaining quarters to average the FY26 24.8%. The stock probably stays in a Rs 400-560 band with high event sensitivity around the November results, the 22 Nov anchor unlock and the February 2027 unlock; a de-rating toward 40x is more likely than an expansion. The scenarios are our arithmetic on Fact inputs, not a forecast and not company guidance.
Five things to remember
- The price is Rs 513 (21 Oct 2026 close), 61.4x FY26 EPS, with market cap Rs 4,300 cr; at issue it was 35.9x, and eight weeks of trading produced no sell-side coverage, so valuation is unanchored.
- Only Rs 95 cr of the Rs 650 cr IPO reached the company (14.6%); Rs 55 cr has repaid debt; the rest of the money went to family sellers at a cost of about Rs 0.05 per share.
- Cash does not follow profit: CFO was 59% of PAT in FY26 and 76% cumulatively, and the cash conversion cycle is 210 days.
- Industry data and market-share claims are Frost & Sullivan, commissioned and paid for by the company; the 10.5% sensor share compares group revenue including exports with an India-only pool (India-only about 7-8%).
- The 50% Tempsens GmbH purchase from MD Vinay Rathi (EUR 763,500 = 50% of EUR 1,527k) is a related-party transaction with control via a voting agreement and undisclosed approvals; November brings H1 results and the first utilisation statement, 22 Nov brings the anchor unlock.
Five questions before investing
- What is the rupee order book and its conversion, given that management declined to give a number and the Letter of Award links are empty?
- Will Q2 and Q3 FY27 company-definition EBITDA margin recover from 22.0% toward 24.8%, and does standalone PAT growth rise above +2.9%?
- Why do key units run at 41-58% utilisation if management says plants run near 80%, and what does that say about the Rs 500 cr capacity plan?
- Who approved the GmbH purchase, who are the trustees of the Rathi Family Trust, and what are the final lock-in dates for the roughly 54% of equity that can trade from about 25 Feb 2027?
- Does working capital turn (cash conversion cycle below 200 days, CFO / PAT above 75%) before the market pays 60x for the OEM ramp?
November triggers [Analyst View]
- Q2 FY27 / H1 results (by about 14 Nov): company-definition EBITDA margin at or above 24% and PAT growth within about 5 points of revenue growth would be constructive; another sub-23% print with standalone PAT growth in single digits would not.
- First IPO-proceeds utilisation statement: Rs 550 mn repayment confirmed, capex on schedule, general corporate purposes not drifting into acquisitions from related parties.
- Finance cost: a visible fall from Rs 13.6 mn per quarter.
- Working capital: inventory and receivable days not rising further from 170 and 70.
- ICRA surveillance (by about 27 Nov): upgrade or reaffirmation with a positive outlook.
- 22 Nov anchor unlock: how the stock absorbs 3.9% of equity coming free.
- Any rupee order book, Letter of Award values, sell-side initiation (ICICI Securities, JM Financial) and the Dec-quarter shareholding pattern.
Opinion [Analyst View]. Tempsens is a qualification-driven niche manufacturer with an A rating, low leverage, no pledge and a 27% revenue CAGR, so there is no case for avoiding it. But the stock is priced at 61.4x trailing earnings on 14-16% profit growth, cash conversion is weak (CFO 59% of PAT, 210 cash days), margins are falling in the first quarter, the first sell-side view and rupee order book are missing, key industry claims are company-sponsored, and a dense supply calendar runs from 22 Nov 2026 to February 2027. Valuation is the primary reason for caution; cash conversion, margin and the supply calendar reinforce it. The evidence rules out a positive call today and does not justify walking away. Keep it on the watch list and revisit after the November results, the utilisation statement and the anchor unlock.
