Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026
What happened. Tenneco Clean Air India listed on 19 Nov 2025 at Rs 397 in an issue where every share came from the seller, Apollo's Tenneco Mauritius Holdings. It ran to an all-time high of Rs 657 on 6 May 2026, then gave back 32% to Rs 447.85 today, with the 21 Oct intraday low within 0.4% of the Rs 438.05 all-time low set on 18 Dec 2025. The operating story over that period is good on revenue and mixed on profit: Q1 FY27 revenue rose 20.2% and value-added revenue (VAR) 18.4%, yet PAT fell 1.7% to Rs 165 cr and the EBITDA margin on VAR slid from 19.6% to 17.9%, roughly 175 bps. The tape did not wait for the numbers. The sharper break came with the 12 Aug 2026 sale, when the promoter went from 74.79% to 59.79%, and the stock has fallen from about Rs 540 on that day to Rs 447.85.
What the market is pricing. At about 30x trailing earnings, 26.4x FY27E and 22.1x FY28E (Yahoo consensus, thin), the stock is back on the IPO multiple (29.0x FY25) with earnings that are about 9% higher. Against the eight peers in the RHP table, whose current average P/E is about 47.9x on Screener, that is a discount of roughly 39%, but the peers are larger, more diversified and, in several cases, valued on a growth premium that Tenneco has not earned: its FY26 PAT grew 9.3%. What the market is really pricing is a cash-rich, 44% RoE business that sends about 15% of its EBITDA to its owner, faces a seller with more stock to sell, and needs to show that the order book converts into margin and not only into revenue.
The earnings-quality question is the first thing to settle. FY26 operating cash flow of Rs 14,295 mn is 237% of PAT, which looks exceptional until you remove the Rs 8,294 mn collected from the Apollo-group affiliate that bought the Motocare stake in March 2025. Without it, cash from operations is about Rs 6,001 mn, roughly 99% of PAT [Est.], and free cash flow about Rs 4,850 mn, roughly 80% of PAT. That is respectable, not extraordinary, and management's own "50 to 60% of EBITDA converts to cash" fits the lower number. Other income also contained Rs 340 mn of 12% interest on that related-party receivable, about 4% of PBT, which has now been collected and will not recur. The pre-IPO cash extraction is the other piece: Rs 10,366 mn of dividends in April to August 2025 (172% of FY26 PAT), plus a Rs 8,294 mn receivable from an affiliate, contracted over about two years at 12% and collected within FY26. The company is now net cash of about Rs 4.9 bn and has paid no dividend since listing.
Margins are the live debate. Management said in December 2025 that EBITDA would be "a bit soft" for a couple of quarters on listed-company costs, and in June 2026 that margins would stay stable. Q1 FY27 delivered 17.9% against 19.6% a year earlier and 18.3% in Q4. The explanations (listed-company costs, Middle East war commodity and freight inflation in non-indexed inputs, rupee, substrate pass-through diluting percentage margins) are plausible, and management says 60 bps of recoveries and productivity are already in the number. But the slide is larger than listing costs alone, and with steel recoveries lagging by a quarter the Q2 print is the test. My read is that revenue is not the problem. Margin on VAR is, and ART, now half of VAR and growing 28%, is the engine, while Clean Air and Powertrain grew 9.6% against a served market up 16.2%.
The parent is both the moat and the leak. The group supplies the Monroe, Champion and Tenneco brands, 5,000+ patents, the P3 operating system, the electronics for semi-active dampers and about 70% of the export order book. In return it takes 2.5% of gross revenue (2.0% for bearings) plus up to 0.5% of net sales in network fees, Rs 1,420 mn in FY26. The royalty contract runs to 1 Jan 2031, but the network agreement can be ended on 180 days' notice by either side and both fall away if the companies stop being affiliates. The group also filed a unilateral advance pricing application on royalty and management charges and then withdrew it, while a Rs 887 mn income-tax and transfer-pricing contingency sits before the first appellate authority. A tax challenge to the 2.5% plus 0.5% stack is a live risk, not a certainty. Related parties are 13% of trade payables (Rs 1,352.85 mn of Rs 10,383 mn), not 73%; the 73% that circulates matches the 72.9% owed to other third parties (Tab 6), and the nearest other 72% is Motocare's share (71.7%) of related-party product sales, a different measure.
Apollo behaves like a financial seller. It has sold about 40% of the company in under a year: 2.75% pre-IPO on 30 Oct 2025, 22.47% in the IPO, and about 15% on 12 Aug 2026, which lifted DIIs from 11.45% to 22.69% and made SBI Arbitrage Opportunities Fund the largest identifiable outside holder at about 6.1%. An arbitrage fund holds the shares against a short futures position, so that is supply parked, not conviction bought [Est.]. The sell-down mechanism (block, bulk or secondary) is not on any record I could access, and the buyer list is Not Available. I assume more stock will come, and I would not read any day's weakness as company-specific.
Housekeeping is thinner than the balance sheet. The audit opinion is clean with no key audit matters, but the auditor reports daily back-ups not kept on a server in India and audit trail not enabled at database level; three company secretaries served in three months around the IPO; there is an alleged Rs 194.45 mn misappropriation at the ART subsidiary (April 2018 to June 2023), a Rs 40.3 mn inventory gap at the ignition subsidiary reported as possible fraud, pollution-board notices at Parwanoo and Bhiwadi (the latter threatening closure), a factory-safety prosecution at Hosur, and a Rs 56.7 cr GST show-cause notice served on 5 Oct 2026. None is alone thesis-changing. Together, with nominee directors attending 8 of 17 and 12 of 17 meetings and one sitting on the audit and remuneration committees, they say that control is held at the group level and that independent directors are credible but outnumbered.
What would change the view. (1) Q2 FY27: EBITDA margin on VAR holding at or above 18% with the first H1 order-book update showing the domestic / export split and a rising third-party share of exports. (2) Kharkhoda SOP in Q3 FY27 on time and on budget (Rs 710 mn). (3) A filed explanation of how the 12 Aug sale was executed and whether any lock-in or overhang remains. (4) A clean outcome on the GST notice and the transfer-pricing contingency. (5) CAFE-III and BS-VII notifications that confirm the Rs 1,300 to 1,400 cr addressable content. Negative triggers are a second sale, a margin below 17.5%, or any sign that the network agreement is being repriced.
Where I land. Quality is high and the balance sheet is clean, but the price has not yet moved to a level that pays for the sell-down overhang, the related-party leakage and a margin trend that is moving the wrong way. The right posture is to watch the Q2 print and the order-book update with explicit triggers rather than commit now. The verdict in Tab 13 is a watching brief.

Management on 6 Aug 2026: CAPT utilisation "upward of 80%" (hot ends), ART "more than 90%".
- [Est.] Cold-end capacity is under-used (about 50%), which dilutes fixed-cost absorption in Chennai (cold ends 43% of FY25); hot-end, spark-plug and ART lines are near full, hence the new plants.

Where the moat is, and where it is borrowed [Analyst View]
Durable
Regulation-driven content (BS-VI roughly doubled content per vehicle, up to 4x on some trucks; ARAI homologation), #1 share in truck and off-highway clean air and in PV shock absorbers, 17 to 29 year OEM relationships, modular lines that give an asset turn of 9.6x, and a mechanical damper (DCx) that took 3 to 4 years to co-develop with an OEM.Borrowed
The brands, patents, P3 system and semi-active electronics belong to the group and are licensed in for a fee; the licence ends on loss of affiliation. The India entity owns 9 designs and 1 patent. The business is therefore as durable as the licence and as the group's willingness to keep the network agreement (180 days' notice).Business-quality observations [Est.]
- Two different businesses under one name: CAPT (ICE-dependent but regulation-protected, 57% / 68% share in trucks / off-highway) and ART (VAR +19.7% in FY26 and +27.9% in Q1 FY27 vs CAPT +5.5% / +9.6%; PV shock-absorber share 52% to 55%).
- Asset-light returns: fixed-asset turnover 9.6x and ROCE 94% are unusually high, helped by a low capital base after the group restructuring and common-control accounting.
- Royalty and network fees (about 15% of EBITDA) are a permanent transfer to the parent, while the parent can end the network agreement on 180 days' notice; the dependence is real, but the parent is also a 59.8% owner.
- Concentration: top customer about 20% of VAR, top five about 62%, PV about 65%.
- Not Available (searched RHP, Annual Report text, call transcripts, company website): supplier names for substrates and electronics, customer-level revenue, plant-level FY26 capacity, FY26 headcount.
Segment Analysis
The statutory accounts have one reporting segment. Management splits only VAR by division; division EBITDA and margins are "disclosed only at consolidated level" (calls of Dec 2025 and Aug 2026), so segment EBITDA is Not Available (searched RHP, Annual Report, four decks and transcripts).

Subsidiary view of the same split (Annual Report AOC-1, FY26, Rs mn) [Fact]

| CAPT = parent + FMIPL + FMSIL + FMBIL | CAPT | 29,155 | - | - | 54.0% |
[Est.] The parent plus three Powertrain subsidiaries sum to the Rs 29,155 mn CAPT revenue; adding TAIPL gives Rs 54,040 mn, the consolidated revenue, so intra-group eliminations appear negligible in the figures as reported. Profit by segment is therefore best proxied by subsidiary PBT margins: TAIPL 13.2% of revenue, FMIPL 14.9%, FMSIL 7.4%, FMBIL 9.5% [Est.]. These do not include royalties allocated by the group, and the parent PBT is Not Available in the extracted notes.

Growth drivers and pressure points
| Division | Why it is growing or lagging | Management focus |
|---|---|---|
| ART (fastest grower; VAR +19.7% FY26, +27.9% Q1 FY27) | DCx DaVinci wins (flagship Mahindra SUV, about Rs 2,200 mn a year; four new DCx customers in Q1 FY27); PV shock share 52% to 55%; A/B-segment volume lift after the GST cut; capacity above 90% utilised so growth is supply-constrained until the West India plant | West India plant (Rs 690 mn); DCx32 for A/B segment (aspiration: 5 mn PV market, about 50% addressable by DCx); MARD fitment; CVSA; localise DCx pistons over time; two-wheeler entry only with differentiated technology |
| CAPT (lagging; VAR +5.5% FY26, +9.6% Q1 FY27) | Served market +10% in FY26 and +16.2% in Q1 FY27. Reasons given: EV share removed from the addressable market, EV-heavy European OEM sales, no presence at the largest Japanese-promoted PV OEM that surged after the GST cuts; mid-2025 truck cab-AC mandate pulled CV demand into Q1 FY26 and depressed Q2 FY26 (+3%); "apples to apples" served market 8 to 10% | Kharkhoda plant (Rs 710 mn); CAFE-III GPF (Rs 300 to 400 cr addressable); BS-VII (about Rs 1,000 cr); TREM V; new PV hot-end programme, CNG cold-end programme for a global OEM, 2.0L SCV aftertreatment programme, spark plug order from a large PV OEM, bearings entry at a Japanese PV OEM |
| Declining line | None reported in absolute terms. FY25 revenue fell 10.6% on lower substrate pass-through (some customers moved to cheaper Indian substrate suppliers), while VAR rose 2.6% | - |
Why the split matters for margin [Analyst View]
Management says there is a "margin differential" between the divisions but will not give it. If ART is the higher-growth, capacity-constrained division and CAPT carries under-used cold-end capacity (about 50% used), the mix shift towards ART should help margin, yet consolidated EBITDA on VAR fell to 17.9%. That points at input costs, listed-company costs and the royalty base, not mix. Without segment profit this cannot be tested.Financials: P&L
Accounting basis (read before using any history) [Fact]
- The group was formed by common-control share swaps on 25-26 Mar 2025: the company issued 189,515,480 shares at Rs 288.85 for TAIPL, FMIPL, FMSIL and FMBIL. Consolidated numbers are restated as pooling-of-interests from the earliest period (Ind AS 103 Appendix C), so FY23 to FY25 are pro-forma "as if combined" (Annual Report note 39; RHP p.148).
- FY23/FY24 EPS as printed in the RHP restated statements (7.58, 8.90) sit on pooled historic weighted share counts (502.92 mn and 467.92 mn: PAT 3,810.43 / 7.58 = 503 mn; 4,167.87 / 8.90 = 468 mn), not on 403.6 mn; Screener's older EPS (17.80, 19.46) imply about 214 mn shares. Only FY25 and FY26 EPS are on 403.6 mn shares. On a constant 403.6 mn basis FY23 and FY24 would be about 9.44 and 10.33 [Est.], so the printed series overstates FY24 to FY25 EPS growth (+54% printed vs PAT +33%).
- Motocare carve-out: on 24 Mar 2025 TAIPL sold its 20,664,039 shares of Motocare India Pvt Ltd to fellow subsidiary Federal-Mogul Motorparts India Ltd for Rs 8,293.51 mn, receivable over about 2 years at 12% p.a. The gain went to capital reserve (Rs 4,914.47 mn net of tax), not the P&L. Motocare was a customer (Rs 2,316 mn FY25 revenue, 4.7% of revenue, 5.29% of VAR) and is now a related party.
- FY26 includes a one-time Labour Codes charge of Rs 271.68 mn (exceptional; Rs 203 mn post-tax per the Q3 call), effective 21 Nov 2025.
- Management quotes margins on VAR; Screener's OPM is on revenue. Both are shown.

Margin trend [Analyst View]
The FY24 to FY25 jump (11.2% to 16.7% of revenue) is partly denominator (revenue fell on substrate prices) and partly real VAR margin expansion (14.3% to 18.6%) under the Apollo-led P3 programme and a lower royalty. Since Q1 FY26 margin on VAR has fallen in each of the following four quarters, from 19.6% to 17.9%. Revenue growth is not the issue; margin is.Revenue growth decomposition. No inorganic contribution is reported (the four subsidiaries joined by common-control swap and are restated from the start). Volume versus price: management attributes growth to served-market volume (+10% in FY26, +13% in Q4, +16.2% in Q1 FY27) plus content wins; FY25's revenue decline was price and substrate-sourcing driven, with VAR up 2.6%. Discounts, rebates and credits were Rs 1,439 mn in FY25 (2.94% of revenue, up from 0.93% in FY23) [Fact].

Correction on a circulating number
Related parties account for 13% of trade payables, not 73%. The 72.9% above is the share owed to other third parties. The nearest 72% figure elsewhere is Motocare's share of related-party product sales (Rs 2,170.59 mn of Rs 3,025.55 mn, FY26). Average credit period is 30 to 90 days; Rs 1.94 bn already past due within a year is high for a business that reports a negative cash cycle.Other related-party balances Mar 2026: advance received from parent Rs 194.23 mn; other receivables Rs 184.75 mn (Rs 8,313.02 mn at Mar 2025, almost all the Motocare receivable).

The "(increase)/decrease in financial and other assets" line was +Rs 7,048.79 mn, which includes collection of the Rs 8,293.51 mn Motocare receivable from the Apollo-group affiliate (Federal-Mogul Motorparts India Ltd). The three ROCE figures differ by definition: 94% is the company's, excluding cash and surplus; 60.8% is Screener TTM; 56.6% is our average-capital basis. Company-quoted: FY26 fixed-asset turnover 9.6x (8.4x FY25), ROCE 94% (57% FY25; excludes cash and surplus).
- The very high ROCE and ROE are flattered by (i) near-zero net fixed assets because Tenneco licenses IP (royalty 2.5% of revenue) rather than owning it, (ii) a 108 to 111 day payable cycle, with third-party suppliers about 87% of payables and Rs 1.94 bn already overdue, and (iii) VAR-based pass-through accounting [Est.].
- Interest coverage: EBIT of about Rs 8,173 mn against finance cost of Rs 335.73 mn gives about 24x [Est.]; the cost is mostly factoring and lease interest, not bank debt. Current ratio: Not Available (not extracted; searched the Annual Report ratio note).

Royalty, technology and other fees to the Tenneco / Apollo parent [Fact: RHP p.60-62, 67; Annual Report p.320, 328]
- Licence Agreement with Tenneco Holdings LLC (effective 1 Apr 2024; non-exclusive; India and designated territories): Monroe, Champion and Tenneco trademarks and IP/know-how for suspension, bearings, clean air, ignition and sealings. Royalty 2.50% of gross revenue of each licensee (the company and subsidiaries), 2.00% for FMBIL, excluding intra-group sales. The licensor cannot terminate before 1 Jan 2031 except (a) immediately if the licensees stop being affiliates, or (b) 30 days after an uncured material breach or liquidation. TAIPL's Monroe licence ends immediately if TAIPL ceases to be an affiliate of Federal-Mogul Motorparts LLC. Use of the "Tenneco" name depends on this agreement.
- Master Affiliate Intangible Property and Network Services Agreement (30 Aug 2025, effective 1 Apr 2025, one-year auto-renewal) with Tenneco Automotive Operating Company LLC, Federal-Mogul Powertrain LLC and Federal-Mogul Ignition LLC: P3 operating system IP plus IT, finance, legal, ESG, HR, purchasing, M&A and quality services; fee an arm's-length percentage of net sales, capped at 0.5% of net sales; terminable by either side on 180 days' notice for any reason; 90-day wind-down of use; Michigan law; India only.
- Management says the royalty is "2.5% of overall revenue, reduced by inter-company sales" (Aug 2026), benchmarked by an independent third party and approved by the independent directors. CFO (Dec 2025): "fairly middle of the fairway, MNCs pay 5-6%; impact on margin little to nothing". It is charged on revenue, not VAR, so precious-metal price rises raise the royalty without raising the margin base (CFO: immaterial).

Totals [Est.]
FY26 royalty plus network fees = Rs 1,419.96 mn = 2.63% of revenue, about 15% of EBITDA (Rs 9,250 mn), about 17% of PBT. Royalty alone is 12.9% of EBITDA. Adding purchased services (Rs 67.57 mn) the group-fee burden is about 2.75% of revenue. The FY24 spike to Rs 2,574 mn was paid under pre-April 2024 arrangements that the 2024 licence superseded; the reason for that level is not explained in the text reviewed.Transfer pricing and tax [Fact]
Annual Report notes 27 and 45: the group filed a unilateral Advance Pricing Agreement application (five years FY24 to FY28 plus a three-year rollback FY21 to FY23) covering royalty (technology and trademark) and management support charges, and has now filed an APA withdrawal application. It continues to pay at contractual rates. A tax-authority challenge to the 2.5% plus 0.5% stack is a live risk [Est.]. SEBI Reg 23: royalty to a related party above 5% of consolidated turnover needs minority approval; FY26 was 2.2%, below the threshold, and the Annual Report says no RPT required shareholder approval in FY26 (p.88).Other related-party transactions (Rs mn, FY26 vs FY25; Annual Report note 28 p.325-332) [Fact]

Supply Chain
Value-chain map
Where pricing power sits [Analyst View]: with the OEMs on price (annual price-downs; discounts, rebates and credits were 2.94% of FY25 revenue vs 0.93% in FY23) and with the regulator on content (BS-VI roughly doubled content per vehicle). Steel moves back to back with the OEM contract after a quarter's lag; non-indexed inputs (rubber, plastics, LPG/CNG/crude for furnaces, argon, freight, FX) are recovered only by negotiation. Substrates are pass-through at cost plus a handling fee, so precious-metal swings change reported revenue and working capital but not VAR (the OEM bears the risk). Tenneco's leverage is technology (group IP, DCx), homologation lock-in and 17 to 29 year relationships; the group's leverage over Tenneco is the licence.
Upstream: what Tenneco depends on [Fact unless tagged; RHP p.311-313, Annual Report]
| Input | Detail |
|---|---|
| Steel (largest cost) | Stainless, carbon, CRCA, tubes, rods, stampings. Cost of materials consumed (incl. substrates) was 65.05% of revenue in FY25 and 70.15% in FY24 (64.6% in FY26 [Est.]). Indexed to OEM contracts with a one-quarter lag |
| Catalyst substrates | Ceramic honeycomb with Pt / Pd / Rh coating from Tier-II suppliers at OEM direction; pass-through. Supplier names Not Available (RHP does not name them; searched RHP and Annual Report text). Some customers switched to cheaper Indian substrate suppliers in FY25, lowering reported revenue (FY25 revenue -10.6%, VAR +2.6%) |
| Clean Air inputs | Stainless steel, catalyst, stampings, raw tubes, insulating mats, sensor bosses |
| Ignition inputs | Metal shells, ceramic insulators, centre electrodes, precious-metal tips (platinum / iridium) |
| Sealings inputs | Stainless, CRCA, rubber-coated steel, graphite rolls |
| Bearings inputs | Ferrous and non-ferrous bi-metal strips |
| ART inputs | Steel tubes and rods, stampings, springs, hydraulic oil. Valve and damper electronics for semi-active units are built by Tenneco Europe, with modular assembly in India |
| Non-indexed items | Rubber, plastics, LPG / CNG / crude (furnaces), argon, freight, FX; the Middle East conflict since end-Feb 2026 lifted these and Q1 FY27 margin fell about 175 bps |
| Contracts | No long-term price agreements; purchase orders plus general purchase agreements; all suppliers must be IATF-certified; 3 to 6 month OEM forecasts feed daily / weekly supplier plans. Group buying power is used for steel and other commodities |

Downstream: who depends on Tenneco [Fact]
| Channel | Detail |
|---|---|
| OEM direct (JIT to plant hubs) | Pune / Chakan, Chennai / Hosur, Gujarat / Sanand, NCR / Bawal-Bhiwadi, Pithampur |
| Passenger vehicles | 65% of FY26 VAR |
| Trucks and off-highway (Cummins, Kirloskar, John Deere and others) | 21% |
| Gensets, SCV, 2W / 3W | 7% |
| Aftermarket (Champion and Monroe via Motocare India Pvt Ltd) | 4%. Motocare was a Tenneco-group related party that took 5.29% of FY25 VAR; the company's stake was sold within the group in FY26 (one-time interest / other income booked in Q1 FY26, about Rs 187 mn net of tax). Motocare remains a fellow subsidiary and customer (FY26 sale-of-services line Rs 59.2 mn) |
| Related-party sales | Total sale of goods to related parties Rs 3,025.6 mn in FY26 (Rs 3,069.9 mn FY25); includes aftermarket via Motocare and exports to Tenneco entities; the split beyond Motocare is Not Available (table rows partly unreadable) |
| Contract tenor and stickiness | Programme life 3 to 7 years with successor awards typical; ARAI re-homologation makes switching costly; 427 programmes awarded as of Jun 2025 (358 CAPT, 69 ART); relationships 17 to 29 years |
| End-products containing the output | Exhaust systems and aftertreatment on PV, trucks, off-highway, gensets and tractors; Monroe / DCx dampers on SUVs and cars; spark plugs, bearings and gaskets on engines |
Exports
| Measure | FY23 | FY24 | FY25 | Q1 FY26 | FY26 | Q1 FY27 |
|---|---|---|---|---|---|---|
| Export share of VAR | 7.69% | 5.06% | 6.46% | 8.00% | 5.9% | "slightly over 7%" of revenue (call) |
| Export order book share | - | - | - | - | 17.9% (Sep 2025) [Est.]; over 20% (Feb 2026); 14-20% (Jun) | 14-20%; 70% intra-Tenneco, 30% third party (Aug 2026) |
- Exports reached 17 to 22 countries over FY23 to Q1 FY26, including Argentina, Brazil, China, Czech Republic, Poland, Germany, Belgium, Indonesia, Thailand, Japan, Turkey, South Korea, Mexico, South Africa, UK, USA and Vietnam. US sales were 1.58% of FY25 revenue.
- Drivers cited by management: technology equalisation (BS 6.2 = Euro 6), China-plus-one, labour arbitrage, rupee weakness (a 15 to 20% export-competitiveness gain); critical mass "around 2028". US tariffs on Indian goods rose to 50% in Aug 2025 (US is 1.6 to 2.2% of revenue); management said (Feb 2026) these fell to 18% and that EU duties on bearings fall from 3-8% to zero under the India-EU FTA (company claim, independent confirmation Not Available); Section 232 duties on exhaust parts remain a "downer" (Aug 2026).
- New export wins: Euro VII proof of concept with a European truck OEM (Q4 FY26), maiden order from a European ATV maker, heat-shield order from Tenneco America (Q1 FY27). [Analyst View] With 70% of the export order book inside the group, exports are partly a transfer of group production, not yet independent market share.

Data caveat
All industry sizes and FY25 market shares come from the CRISIL Market Intelligence report (Oct 2025) that the company commissioned and paid for, excerpted in the RHP (p.238-267) [Fact]. The FY26 share updates (58% / 55% / 68%) are the company's own statements citing CRISIL. Treat all as company-sponsored. Competitor metrics come from the RHP peer table (prices as of 20 Oct 2025) and Screener pages fetched on 21 Oct 2026; web search was unavailable.Industry structure
- Indian auto components are sold mainly OEM-direct on multi-year, platform-by-platform awards (3 to 7 years); ARAI homologation makes mid-programme supplier changes unlikely; OEMs prefer single sourcing for critical parts. The aftermarket is counter-cyclical and brand/channel driven.
- CRISIL expects the auto-component industry to grow 9 to 11% CAGR FY25 to FY30P. The ceramic substrate and catalyst are excluded from CRISIL's clean-air market size (Tenneco only cans and packages them).
- Commercial-truck industry has cycled three times in two decades with 20 to 25% peak-to-trough swings (RHP p.265).

Tenneco's own FY26 VAR growth was +12.3% vs served-market volume +10% (FY26) and +13% (Q4); Q1 FY27 VAR +18.4% vs served market +16.2% (Q4 deck p.9; Q1 deck p.6).
Market share [Fact]
| Segment | FY25 (CRISIL via RHP) | FY26 (company, citing CRISIL) | Rank |
|---|---|---|---|
| Clean air: commercial trucks | 57% | 58% | #1 |
| Clean air: off-highway (ex tractors) | 68% | 68% | #1 |
| Clean air: passenger vehicles | 19% | not updated | top 4 |
| Shock absorbers / struts: PV | 52% (48% in the DRHP) | 55% | #1 |

| Sealings: PV | 14% | - | top 7 |
| Ignition (spark plugs): PV | 18% | - | top 5 |
Management says the shock-absorber gain came from DCx DaVinci wins, and that Clean Air lost no share but grew slower than the market because of mix, EV-heavy European OEM sales, and absence at the largest Japanese-promoted PV OEM. A 19% PV clean-air share plus zero presence at one large OEM caps PV clean-air share until the CAFE-III GPF programme starts (about 2028-29).

Competitive assessment [Est.]
- Moat: group IP (5,000+ patents), full-system capability (hot and cold end, mounted with substrates), modular lines, 17 to 29 year OEM relationships, CAFE / BS-VII readiness, and the DCx mechanical damper that OEMs say is hard to copy (3 to 4 years of co-development).
- Threats: Sharda-Purem and SM Auto-Eberspaecher can offer similar European technology; Forvia-Anand and Cummins CES are credible in CV; Gabriel, ZF and UNO Minda can launch FDD-class dampers; OEM in-sourcing of design; price-downs (discounts, rebates and credits Rs 1,439 mn in FY25, 2.94% of revenue, up from 0.93% in FY23; RHP p.85).
Porter's Five Forces [Analyst View]
| Force | Level | Evidence |
|---|---|---|
| Buyer power (OEMs) | High | Top customer 19.9% of VAR, top 5 about 62%; annual price-downs; OEMs direct substrate sourcing |
| Supplier power | Moderate | Steel indexed; non-indexed items recovered by negotiation with a lag; single-source parts; group is both supplier and licensor |
| New entrants | Low | Homologation, IATF, capital for plants, 3 to 7 year programmes; unlisted JVs with European partners already present |
| Substitutes | Moderate | EV removes exhaust from the addressable market (ICE / hybrid only); hybrids need more content (1.5-2X) |
| Rivalry | Moderate | Concentrated in trucks / off-highway where Tenneco leads; more contested in PV exhaust (19% share) and shocks (Gabriel, ZF, UNO Minda) |

Smart-money flows and sentiment [Fact / Est.]
- Institutional trend: DIIs 12.00% (Dec 2025) to 12.58% to 11.45% to 22.69% (Sep 2026); FIIs 8.41% to 11.90%; public 4.81% to 5.61%. The Sep-26 move reflects the 12 Aug block; the SBI Arbitrage Opportunities Fund hedged position (about 6.1%) is the largest identifiable outside holder (Tab 7).
- Anchors and pre-IPO placees are about 13% in profit on a Rs 397 entry; the 12 Aug block (about Rs 525-545) buyers are 15 to 20% under water [Est.]. The 50% anchor lock-in expiry on 16 Dec 2025 preceded the 18 Dec low [Est.].
- Media and social sentiment: news articles, brokerage-note summaries and forum threads Not Available (web search exhausted; Chittorgarh and Screener boards not retrievable). Proxies: the Street is 6 of 7 Buy with mean target +41%; the tape is 32% off its peak at the all-time-low zone with volume drying up; company messaging was "best-ever year, zero debt, highest EBITDA margin 18.8%" (Jun) then PAT -1.7% and VAR margin -175 bps (Aug).
- Bottom line: sell-side is positive and anchored on about Rs 630 to 650 targets set when the stock was Rs 550 to 620; domestic funds absorbed a 15% promoter sell-down and are now under water on it; the next catalysts are the Q2 FY27 results and any further Apollo sell-down [Analyst View].
Final Verdict
Bull case
- ART is scaling: VAR +27.9% in Q1 FY27, DCx DaVinci with a flagship Mahindra SUV (about Rs 2,200 mn a year) and four new DCx customers, PV shock share 55%, and new capacity (West India, Rs 690 mn) arriving in FY27 to FY28.
- Rs 12,400 cr of lifetime orders (2.5x FY26 VAR) with a promise of double-digit CAGR, regulation-driven content (CAFE-III GPF, BS-VII, TREM V: Rs 1,300 to 1,400 cr addressable), zero debt, ROE 44%, and a stock back on its IPO multiple at 22x FY28E.
- The overhang is finite: a 15-point sale has already been absorbed by domestic funds; the Street mean target is Rs 630 and the only EPS revisions in the past 30 days have been upward.
Bear case
- Margin on VAR has fallen in each of the last four quarters to 17.9% while management said stable; Q1 FY27 PAT fell 1.7% on 20% revenue growth, and Clean Air, half of VAR, grows at about half the market.
- The parent takes about 15% of EBITDA through royalty and network fees (the latter terminable at 180 days' notice), the APA was withdrawn, a Rs 887 mn transfer-pricing contingency is open, and Apollo has sold about 40% of the company with no lock-in left; the stock is 32% off its high and at its low.
- Quality of the headline numbers: FY26 OCF of Rs 14.3 bn rested on an Rs 8.3 bn affiliate receivable, Rs 10.4 bn of dividends left before listing, control items (Rs 194 mn alleged fraud, pollution and safety notices, Rs 56.7 cr GST notice) and a 70% intra-group export order book.
Base case (12 to 18 months) [Analyst View]
Revenue grows in the mid-teens in FY27 (consensus Rs 62.6 bn, +15.9%) on served-market volume and ART; EBITDA margin on VAR stays in a 17.5 to 18.5% band as recoveries catch up with commodities; PAT of roughly Rs 650 to 705 cr (consensus EPS Rs 16.2 to 17.5 on 403.6 mn shares). Q2 FY27 brings the first H1 order-book update with a domestic / export split, and the Kharkhoda plant starts in Q3 or slips to Q4. Apollo likely sells again within the period. The stock stays in a range of about Rs 400 to 500, a 24 to 29x P/E on FY27E, with a break below the Rs 438 low if a second sale coincides with a margin below 17.5%. A re-rating towards the Street's Rs 630 needs a margin back at 18.5% or more, a visible third-party share of exports and a quiet overhang. These are scenario ranges, not forecasts.
What supports the verdict, and what holds it back
| Supports a positive stance | Holds us at a watching brief |
|---|---|
| High-return, net-cash business with #1 shares in three markets and a Rs 12,400 cr order book | Margin trend negative; Q1 FY27 PAT down on strong revenue |
| ART growth 20 to 28% with capacity coming | Valuation back at the IPO multiple (29x) with 9% earnings growth in FY26 |
| Forward P/E 22x FY28E and a 39% discount to listed peers | Parent economics (15% of EBITDA), withdrawn APA and open tax contingency |
| Zero debt; capex self-funded | Apollo supply overhang with no lock-in; mechanism of the Aug sale unknown |
| Street 6 Buy of 7, mean target Rs 630 (secondary, stale) | Control items, GST notice, nominee-director attendance; Q2 not yet reported |
Five things to remember
- The IPO was a 100% offer for sale by Tenneco Mauritius Holdings (Apollo): 90.68 mn shares at Rs 397, Rs 3,600 cr, and the company received nothing. Apollo has since sold a further 15 points (74.79% to 59.79%) and holds 59.79%.
- The parent takes 2.5% of gross revenue (2.0% for bearings) plus up to 0.5% in network fees: Rs 1,420 mn in FY26, 2.6% of revenue and about 15% of EBITDA [Est.]; the royalty licence runs to 1 Jan 2031, the network agreement can be ended on 180 days' notice, and the APA was filed then withdrawn.
- FY26 operating cash flow of Rs 14.3 bn includes Rs 8.3 bn from an Apollo-group affiliate; ex that it is about 99% of PAT [Est.]. Related parties are 13% of trade payables, not 73%.
- Q1 FY27 PAT Rs 165 cr (-1.7%) on revenue +20.2%; EBITDA margin on VAR 19.6% to 17.9% while management said stable. Half of FY26 VAR is the Monroe ART division, not clean air.
- Q2 FY27 results and the H1 order-book update are not filed as of 21 Oct 2026; price Rs 447.85 and market cap about Rs 18,079 cr are third-party figures (Yahoo, Screener), not official NSE prints.
Five questions before investing
- How was the 12 Aug 2026 sale executed, who bought the roughly 10 points beyond the SBI arbitrage position, and is another sell-down planned?
- Does EBITDA margin on VAR hold at or above 18% in Q2 FY27, and what share of the margin loss is commodity timing rather than structural cost (listed-company costs, royalty base)?
- What is the H1 order-book number, its domestic / export split, and the third-party share of exports given the 70% intra-Tenneco figure?
- How will the transfer-pricing contingency (Rs 887 mn) and the withdrawn APA resolve, and could the 2.5% plus 0.5% fee stack be challenged or repriced?
- Can Clean Air and Powertrain close the gap to its served market before the CAFE-III programme (about 2028-29), and is the Japanese OEM entry real revenue or a headline?
Opinion [Analyst View]. Tenneco Clean Air India is a high-return, debt-free business with real share leadership and a growing ART franchise, but the shares sit back at their IPO multiple while margin is falling, about 15% of EBITDA goes to the owner, the owner is still selling, and several control items are open. The risk and reward are balanced until Q2 FY27 shows margin stability and the order book converts; the evidence does not yet justify committing capital. Keep it on the watch list with explicit triggers: Q2 margin at or above 18% on VAR, an H1 order-book update with a rising third-party export share, Kharkhoda starting on time, and clarity on the Apollo sell-down and the transfer-pricing contingency. A second sale, a margin below 17.5% or any repricing of the network agreement would move us to a negative stance.

Short names used in the text: RHP = Red Herring Prospectus (5 Nov 2025; Screener labels it "DRHP"); AR = Integrated Annual Report FY26.
