What It Is, Plainly

VerveSemi designs analog and mixed-signal chips — the components that convert real-world signals (voltage, current, motion, temperature, weight) into digital data, and drive motors and power stages. It sells in two ways: (1) licensing IP blocks (data converters, clocking, amplifiers, filters) to chip companies abroad, and (2) increasingly its own ASICs/ICs for motor control, smart-energy metering, weighing/bridge sensors and space/avionics data acquisition.

Its differentiator is an ML-assisted correction scheme embedded in silicon that learns analog imperfections and corrects them digitally — claimed to be silicon-validated with multiple customers entering production [Fact: company claim]. There is no independent technical validation in the public domain.

The Feb 2026 $10M round funds the move from an IP-licensing/services-like revenue base (~₹14 Cr) to volume ICs targeted for late 2026 / early 2027.

Analyst Notes

Our read, before the data tabs. All views are [Analyst View] unless labelled.

What just happened. On 18 Feb 2026 VerveSemi announced a $10M (~₹90 Cr) Series A co-led by Ashish Kacholia and Unicorn India Ventures, with Roots Ventures, Caperize Fina, MAIQ Growth Scheme and HNIs, and a claim of being “oversubscribed multiple times”. For a company whose FY25 revenue is a reported ₹13.7–16.4 Cr, this is roughly 6x annual sales in fresh cash [Est.]. That is a transformational balance sheet for a 45-person firm — and the central question is whether it can convert design IP into shipped, recurring silicon.

What the market (private market) is pricing. No valuation was disclosed. Dealroom's third-party estimate is $25–50M post-money ([Est.], unverified). On the reported FY25 revenue that is ~17–33x sales and ~67–134x trailing PAT. That is a growth-option price: investors are paying for the ISM/DLI tailwind, a scarce Indian analog IP portfolio, and a product roadmap, not for current earnings.

The financial picture is thinner and noisier than the headlines. The only multi-year P&L we found (UnlistedZone, secondary) shows revenue ₹8.05 Cr (FY23) → ₹14.67 Cr (FY24) → ₹13.70 Cr (FY25), EBITDA ₹0.58 / 6.30 / 2.24 Cr and PAT ₹0.32 / 5.06 / 3.39 Cr. Three things stand out: (i) FY24's 43% EBITDA margin is almost certainly IP-licensing/one-off flavoured, not a run-rate for an ASIC business; (ii) FY25 revenue fell ~6.6% while EBITDA fell 64% — lumpy IP revenue; (iii) FY25 PAT (₹3.39 Cr) exceeds EBITDA (₹2.24 Cr), implying other income (treasury yield, grant/DLI-type income) or a tax credit of >₹1 Cr — this needs the notes to accounts. Inc42 separately shows FY25 revenue of ₹16.4 Cr+, possibly total income including other income. We cannot reconcile them without the AOC-4/XBRL filing.

What tempers the enthusiasm. (1) Execution timing: the August 2025 roadmap promised sampling of weighing-scale and smart-metering ASICs by end-2025 and a BLDC chipset with production in Q4 2026 / early 2027. We found no public confirmation that any milestone was met as of 15 Oct 2026. (2) Customer disclosure is nil: no named customer, no named design win, no order book. (3) Analog is a design-win-and-qualification business with 12–36-month ramps; space/avionics qualification is slower still. (4) Revenue mix is likely to dip before it rises as IP-licence revenue is replaced by ASIC NRE and volume.

What amplifies it. India is the rare large market where policy is actively paying for chip design (DLI) and where ISM 2.0 (Budget Feb 2026; ~₹1.25 lakh Cr outlay cleared mid-2026) explicitly widens support to IP and full-stack Indian design. VerveSemi is described by multiple outlets as among the first cohort approved under DLI, plus a C2S project (BLDC motor controller) awarded 20 Mar 2025. Its PN Singh brings a ST/Wolfson analog-design pedigree. The company reportedly ships IP to Europe, Japan and the US, which is rare for an Indian startup and means some revenue is already export-validated [Fact: company/press claim].

Bottom line. A credible niche analog design house with unusually good policy and capital tailwinds, valued on option value. For us it is a watchlist / information-gathering name: pull the FY24 and FY25 ROC filings, ask for the BLDC/metering sampling status, and see whether H2 FY27 shows the first volume revenue. Absent those, we would not underwrite the valuation.

Biggest unknown Net burn after the round. A 45-person analog team can burn ~₹15–25 Cr/yr including tape-outs [Est., generic], but mask-set and wafer costs at 55nm/110nm can add materially. Cash runway is not disclosed.

Technology: ML-Enhanced Analog

  • Core idea: an ML/digital-model block learns the analog imperfections of a converter/signal chain in real time and corrects them, so smaller or cheaper analog structures reach higher effective accuracy [Fact: company description].
  • A US patent titled “Tiny factorized data-converters for artificial intelligence signal processing” (US 10,804,925) surfaced in searches on this technology; another, “AC coupled open circuit detection for low level DC analog interfaces” (US 10,564,209), surfaced on sensor-interface searches. Assignee/inventor attribution to VerveSemi was not verified.
  • Claim: “validated in silicon with multiple customers entering production” (CB Insights/Series A release). No customer or datasheet verification.
  • Marketing claims such as “AI-powered” should be treated as positioning; an independent benchmark vs TI/ADI parts is Not Available.

[Est.] The jump from 110+ to 140+ blocks in ~6 months implies ~30 new blocks, or a change in counting method; we cannot tell which. [Analyst View] IP-block count is a weak quality metric — revenue per block and re-use in shipped silicon matter more.

Fastest-growing / Under pressure

[Analyst View] Segment growth cannot be measured. Directionally, motor control (EV/appliance BLDC) and smart-energy metering have the largest Indian demand pull and policy support; space/avionics offers margin but slow qualification. The IP-licensing line appears lumpy: consolidated revenue fell 6.6% in FY25 after +82% in FY24.

Management's stated focus

  • Commercialise ML-enhanced analog signal chain ICs
  • Grow IP portfolio and R&D
  • Build GTM across Asia, US, other semiconductor markets
  • “Accelerate production design wins and build sustainable revenue streams” (Malik, AnySilicon version)
Roadmap credibility check The two end-2025 sampling targets (weighing scale/bridge-sensor and smart-metering ASICs) have lapsed with no public confirmation. This is not evidence of a miss — startups rarely publicise samples — but it is an item to confirm directly.

Earnings Quality & Analysis

  • [Est.] FY25 PAT > EBITDA (3.39 vs 2.24): implies >₹1.15 Cr of other income net of D&A/interest/tax, or a deferred-tax credit. Likely treasury income or grant-linked income — Not Available which.
  • [Est.] FY24 margins (43% EBITDA) look like high-margin IP licensing with a thin cost base; FY25 margin compression suggests R&D/opex build-out and/or lower licence mix.
  • Cash-flow vs profit reconciliation: Not Available — cash flow statement not found. Receivable days on export IP deals, and any milestone-based revenue recognition, are the key diligence points.

↑ Upstream — What VerveSemi Depends On

  • Foundry: UMC (Taiwan) for 55nm and 110nm per secondary table; single-foundry dependence for each product [Est.]. Wafer allocation / pricing terms Not Available.
  • EDA/PDK: India's DLI scheme gives startups access to subsidised EDA tools via C-DAC/ChipIN-type infrastructure (scheme design); VerveSemi's actual tool vendors Not Available.
  • Packaging/test: outsourced; OSAT names and country (Taiwan, Malaysia, India) Not Available.
  • Import dependence: essentially 100% of wafers are imported [Est.]; INR/USD exposure on COGS.
  • Single-source risk: foundry and IP-qualification lock-in per SKU.
  • Cost pass-through: ASIC pricing is negotiated per design-win; wafer cost inflation can be passed through only at the next quote [Analyst View].

↓ Downstream — Who Depends On VerveSemi

  • End-markets: EVs, drones, industrial automation, appliance fans/exhausts, smart meters, weighing scales, space, defence, avionics, radar.
  • Named customers: none disclosed. Customer concentration (top-5/10 %): Not Available. [Analyst View] likely very high at this revenue scale.
  • IP customers: overseas chip companies in Europe, Japan, US; licence tenors and royalty terms Not Available.
  • Stickiness: once designed into an OEM board or a qualified space part, switching costs are high (re-qualification) — the central economic logic of analog.
  • Government demand: DLI/C2S projects; indigenisation push in defence and smart metering.
Where pricing power sits [Analyst View] Pricing power sits with the foundry on wafer cost and with the OEM on end-price at commodity-level motor control/metering. VerveSemi's leverage is strongest in differentiated, low-volume, high-spec niches (radar-class converters, space/avionics DAQ), where qualification not price drives the buy. In BLDC fan controllers it competes with low-cost Chinese and Taiwanese MCUs and drivers.

Tone & Themes [Analyst View]

  • Tone: confident, promotional; milestone-based language with no quantified revenue guidance.
  • Recurring themes: India self-reliance, ML-in-silicon, space/defence/EV positioning.
  • Contradictions: “first company approved” (some outlets) vs “among first cohort” (MeitY); 110+ vs 140+ IPs; Noida vs Bengaluru-based in different outlets.

Questions for Management

  • Which of the end-2025 samples shipped, to whom?
  • What % of FY25 revenue was IP vs ASIC vs grants?
  • Cash runway and FY27 burn?
  • Valuation, liquidation preference, board seats in Series A?
  • Are the 10 patents assigned to VerveSemi?

Growth, Outlook & Valuation Scenarios

No order book, guidance or analyst consensus exists. The scenarios below are our own illustrative [Est.] constructs, not forecasts from the company.

Revenue Visibility

Order book, book-to-bill, contracted % revenue: Not Available — not disclosed anywhere searched. Visibility rests on (i) stated production start Q4 2026 / early 2027, (ii) IP licence pipeline, (iii) government projects.

Catalysts

  • 12 months: BLDC chipset volume start; sampling confirmations; first named customer; FY26 ROC filing; hiring announcements; ISM 2.0 DLI call
  • 3–5 years: Smart-meter and EV motor-control ramp; space/avionics qualification; Series B or IPO

Illustrative Scenarios, FY28 (Mar-28) [Est.]

ScenarioKey assumptionsFY28 revenue (₹ Cr)EBITDA marginImplied EV at 6.8x sales (MosChip-like) ₹ CrLikelihood (Analyst View)
BullBLDC and metering ship in volume; 2 new export IP deals; revenue ~4x FY25~5520–25%~37520%
BaseSlow ramp; ASIC NRE replaces IP lumpiness; ~doubling~300–10% (opex build)~20550%
BearDelays/yield issues, customer loss; flat revenue, burn~14Negative~9530%

Arithmetic is illustrative only; EV = revenue x 6.8 (a listed-proxy multiple we computed approximately) with no discounting for illiquidity or time. The bear case EV is near the net cash raised (≈ ₹90 Cr) [Est.], which is a floor-like reference only if the cash is not burned.

Industry tailwinds ISM 2.0 (~₹1.25 lakh Cr, widening to IP and design); DLI (23–24 projects); C2S programme; national push on smart metering, EVs, drones, defence indigenisation. These raise demand for Indian-designed analog, but conversion into VerveSemi revenue is unproven.
Valuation take At the Dealroom $25–50M range the Series A investors are paying ~10–27x net-of-cash sales for a niche IP+ASIC company. This is defensible only if revenue at least doubles within 18–24 months with sustained >30% gross margin. Dividend / buyback: none (private, loss/early-profit). Analyst target prices: Not applicable.

Bull Case

  • Scarce Indian analog design house with export IP sales and a profitable history
  • ~₹90 Cr fresh capital funds roadmap through volume production
  • ISM 2.0, DLI and C2S tailwinds; smart-meter / EV / defence demand

Base Case (12–18m)

Samples and first small-volume orders in BLDC and metering; revenue ~₹15–25 Cr; margin compression due to hiring; no new funding needed. Valuation step-up depends on a named design win.

Bear Case

  • Timelines slip; tape-out or qualification issues, burning cash
  • Revenue stays lumpy IP-only; concentration in few customers
  • Global majors and Chinese vendors cap pricing in commodity segments

5 Things to Remember

  1. $10M Series A, Feb 2026; Kacholia + Unicorn India Ventures; valuation undisclosed.
  2. FY25 revenue ~₹13.7–16.4 Cr; FY24 peak margin 43% EBITDA; FY25 revenue down 6.6% (secondary).
  3. 140+ IP blocks, 25 SKUs are company claims; no named customers.
  4. Volume production target: late 2026 / early 2027 — unconfirmed.
  5. All numbers here are second-hand; verify in ROC filings.

5 Questions Before Investing

  1. What are audited FY24–FY26 revenue by stream, receivables and cash flow?
  2. Who are the top customers and what share do they hold?
  3. What did Series A price at, with what preference terms and board rights?
  4. Have the BLDC / metering / DAQ samples shipped, and to whom?
  5. Are the patents and IP assigned to the company, and are there founder-related party dealings (Rosoel)?
Opinion: VerveSemi is a credible, policy-backed niche analog design house priced as an option on Indian chip-design scale-up rather than on its ~₹14 Cr earnings base. We are Neutral / Watchlist: the evidence base is thin and second-hand, and the key proof points (volume shipments, named design wins, audited ROC financials) are all pending. Upgrade on verified FY25–26 filings plus a confirmed volume customer.
